- RFQ PRICING SHEET REQUEST FOR QUOTE This is a COMBINED SYNOPSIS/SOLICITATION for commercial items prepared in accordance with the information in FAR Subpart 12.6, using Simplified Acquisition Procedures for commercial items found at FAR subpart 13.5, as supplemented with the additional information included in this notice. This announcement constitutes the only solicitation; a written solicitation will not be issued. PAPER COPIES OF THIS SOLICITATION WILL NOT BE AVAILABLE. This combined synopsis/solicitation shall be posted on FEDBIZOPPS ( https://Www.Fbo.Gov/ ). The RFQ number is N4215817TN108. This solicitation documents and incorporates provisions and clauses in effect through FAC 2005-95 and DFARS Change Notice 20161222. It is the responsibility of the contractor to be familiar with the applicable clauses and provisions. The NAICS Code is 611210 Junior College and the Small Business Standard is $20.5M. The proposed contract action is for educational services for which the Government intends to solicit and negotiate with only one source, TIDEWATER COMMUNITY COLLEGE, under the authority of FAR 13.501(a)(1)(i). Interested persons may identify their interest and capability to respond to the requirement or submit proposals. This notice of intent is NOT a request for competitive proposals. A determination by the Government not to compete with this proposed contract based upon responses to this notice is solely within the discretion of the Government. Line Item- 0001 : Educational services for Fall 2017session of the Apprentice program consisting of a formalized academic training, testing, and certificate program designed for participants to receive 18 credit hours. The Period of Performance will be as follows: Session, Fall 2017 21 August 2017 - 26 October 2017 1.0 BACKGROUND: Norfolk Naval Shipyard (NNSY), a naval industrial facility located in Portsmouth, Virginia, maintains, overhauls, and repairs various vessels of the US Navy. Over 10,000 military and civilian personnel work to "maintain and modernize our Navy's fleet". To provide top quality service for the combat war fighter, NNSY must maintain a highly trained and skilled workforce. One of our workforce initiatives is to provide a Federally Registered Apprentice Program. 1.1 The Apprentice Program is a planned and progressive, career-related, co-operative education employment program that develops and enhances an apprentice's knowledge, skills and abilities (KSA's) as it relates to their chosen trade. During the apprenticeship, as part of their normal work schedule/assignment, Apprentices will: •· Receive classroom academic instruction provided by an accredited Educational Institution, •· Receive industrial trade-based instruction from Government personnel, and •· Develop, apply and refine their KSAs thru On the Job Learning (OJL) in scheduled work experience thru the trade's established key processes. 1.2 The program is conducted in accordance with 29 USC §50. NNSY enrolls a new class of Apprentices each year. The academic cycle is held in the first year of the program. Anticipated participation in the program is currently estimated at 191 students for session: Fall 2017. A session is considered nine (9) weeks of instruction. 1.3 Attachments: (1) NNSY Apprentice Program Fall session course listing 2.0 OBJECTIVE & SCOPE: NNSY requires the services of an accredited Educational Institution to provide the formalized academic training, testing, and certificate program required for Fall session 2017 of the Apprentice program. The apprentice program is designed for participants to receive a certificate. 3.0 PERFORMANCE REQUIREMENTS: 3.1 The Educational Institution shall be accredited by an active regional accrediting agency for educational institutions in the United States that is recognized by the U.S. Department of Education. 3.1.1 Accreditation shall be maintained throughout the duration of the contract. 3.1.2 All instructors provided for this contract shall possess qualifications that satisfy the minimum guidelines for the accrediting organization. 3.2 The Educational Institution's campus and classrooms in which the classes will be held must be within a 50 mile commuting radius of Norfolk Naval Shipyard. 3.2.1 Classes shall be held between the hours of 7:20 and 4:00 PM. Any class that is held outside of those hours must be approved by the assigned COR. 3.2.2 Class sizes shall be approximately 24 students per class. 3.2.2.1 Additional students may be added to preclude providing a class for a small number of students. However, overall class size shall not exceed more than 30 students per instructor. 3.2.3 All classroom instruction shall be performed at a single campus of the Educational Institution's site. Enrollment in classes shall be limited to personnel in the NNSY Apprentice Program. 3.3 The Educational Institution shall notify NNSY students about graduation application procedures and deadlines (in accordance with Educational Institution's established schedule) and coordinate the collection and submission of graduation applications. 3.4 The Educational Institution shall provide a full refund for students who withdraw from enrollment within 10 business days after the start of the session. 3.4.1 The Educational Institution shall provide a 75% refund after 10 business days up to 15 business days. 3.5 The following reporting records are required to be submitted to the assigned Contracting Officer Representative (COR): 3.5.1 The Educational Institution shall provide a list of all registered students on the first day of instruction, each session. 3.5.1.1 The Educational Institution shall compare their list of registered students with the class roster provided by the Government and annotate any discrepancies on the first day of instruction, each session. 3.5.2 Written report containing each student's final grades for each session, within two weeks after end of session. 3.5.3 Transcripts of courses and grades for all enrolled students in the Apprentice Program, upon request by NNSY. 3.5.3.1 Written notification to the Government when a student's academic performance drops below a "C" average in any academic class, within one week of occurrence. 3.5.3.2 The Educational Institution shall notify the assigned COR within 48 hours whenever a student is academically unsuccessful or in danger of being academically unsuccessful in any academic course. Academically unsuccessful is defined as a grade below a "C" average in any course. 3.5.4 The Educational Institution shall notify the assigned COR in writing whenever there is any situation involving academic dishonesty, cheating, inappropriate behavior, impropriety, discrimination or other ethical issues within 24 hours. 3.5.5 Written notification when the student is in jeopardy of failing due to attendance, within 24 hours. 3.6 The Educational Institution shall invoice at one standardized all-inclusive tuition credit hour rate for all students. 3.7 The Educational Institution shall notify the Contracting Officer's Representative (COR) in writing whenever the employment status of an instructor could impact the Educational Institution's performance of the services. 3.8 Educational Institution's curriculum shall provide the following learning outcomes (objectives): 3.8.1 Develop knowledge and skills needed in working with people. 3.8.2 Apply math skills to analyze and solve work-related problems (measurement, conversions, geometry, volume, and load). 3.8.3 Demonstrate knowledge and skills related to the development and implementation of basic safety and health principles and techniques. 3.8.4 For each class provided, the Educational Institution shall develop and administer a standard final exam, as identified in the course syllabus, on the last of day of instruction to each student to measure learning. Final grades shall be provided to the Government within two weeks after the end of each session. 3.8.5 The Educational Institution shall provide a course syllabus with Student Learning Outcomes (SLOs) for each academic course according to the course syllabus. 3.8.6 Each syllabus will include planned class assignments that will support achievement of the identified Student Learning Outcomes (SLOs). When the Contract has multiple instructors teaching the same course, the Educational Institution shall ensure that each of the instructors is adhering to the established SLOs for the course. 4.0 QUALITY ASSURANCE: The Educational Institution shall establish a Quality Assurance Program (QAP) that identifies and results in correction of potential and actual problems related to academic instruction. The Educational Institution's QAP shall set forth the staffing and procedures for self-inspecting the quality, timeliness, responsiveness, customer satisfaction, and other performance requirements in the PWS. The Educational Institution shall develop and implement a performance management system with processes to assess and report its performance to the COR. The Educational Institution shall be responsible for making required changes in processes and practices to ensure performance is managed effectively. 4.1 Each session, during the first week of instruction, the Educational Institution shall observe each academic instructor during each initial academic section, to ensure effectiveness of instructional method. Each session, during the second week of instruction, a Department Head from each academic discipline shall observe each academic instructor during classes, to provide technical evaluation of course content and ensure effectiveness of instructional method. The Educational Institution shall provide a one page executive summary five days after observations are conducted by Department Heads addressing the quality of academic instruction, instructional method, and an evaluation of course content. 4.2 The Educational Institution's academic instructors shall maintain a learning environment that supports academic integrity. Instructors shall maintain adequate question banks and test banks to rotate their quizzes, tests, mid-term and final examinations on a basis that prevents exams from becoming compromised. Instructors shall maintain a presence at all times in the classrooms while proctoring examinations. Instructors shall abide by the Educational Institution's professional code of ethics. 4.3 SLOs for each academic course shall be reviewed and updated on an annual basis prior to the start of instruction each session. Technical writing and team building course content will include topics relevant to Shipyard work assignments. The Educational Institution shall route any correspondence to the COR. The QAP shall be submitted with the Educational Institution's proposal. 5.0 EDUCATIONAL INSTITUTION QUALIFICATIONS: 5.1 The Educational Institution shall provide academic instructors and program administrator that possess qualifications that satisfy the minimum guidelines for the Educational Institution. The resumes of all academic instructors and advisors shall be provided with the Educational Institution's proposal. 5.2 Work on this contract requires the Educational Institution and its personnel have access to Privacy information. Educational Institution personnel shall adhere to the Privacy Act, Title 5 of the U.S. Code section 552a. Services that do not require access to classified data, however, may require access to information which is to be handled as "For Official Use Only", and may be covered by the Privacy Act. The Educational Institution shall ensure that personnel assigned to this contract understand the meaning of these categories and handle such information accordingly. 5.4 This contract does not require a security clearance level and clearance granted by the Defense Security Service (DSS). However Educational Institution personnel shall recognize that NNSY deals with sensitive information and other proprietary information, which are valuable, special, and unique assets. Educational Institution personnel shall not divulge, disclose, or communicate in any manner, any information to any third party without prior written consent of the NNSY Privacy Act Program Manager. The Educational Institution's personnel shall protect information and treat it as strictly confidential and will abide by the security requirements of SECNAVINST 5510.36A. A violation of this paragraph shall be a material violation of this agreement. Should the Educational Institution receive or suspect they have learned of sensitive or classified information, the Educational Institution shall identify and report suspicions to the COR. 6.0 REFERENCES: TABLE TITLE REFERENCE NOTES 1. As used in this provision-- "Administrative merits determination" means certain notices or findings of labor law violations issued by an enforcement agency following an investigation. An administrative merits determination may be final or be subject to appeal or further review. To determine whether a particular notice or finding is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance. "Arbitral award or decision" means an arbitrator or arbitral panel determination that a labor law violation occurred, or that enjoined or restrained a violation of labor law. "DOL Guidance" means the Department of Labor (DOL) Guidance entitled: "Guidance for Executive Order 13673, 'Fair Pay and Safe Workplaces' ". "Economically disadvantaged women-owned small business (EDWOSB) concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. "Forced or indentured child labor" means all work or service- (1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or (2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties. "Highest-level owner" means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner. "Immediate owner" means an entity, other than the offeror, that has direct control of the offeror. "Labor law decision" means an administrative merits determination, arbitral award or decision, or civil judgment, which resulted from a violation of one or more of the laws listed in the definition of "labor laws". "Manufactured end product" means any end product in product and service codes (PSCs) 1000-9999, except- (1) PSC 5510, Lumber and Related Basic Wood Materials; (2) Product or Service Group (PSG) 87, Agricultural Supplies; (3) PSG 88, Live Animals; (4) PSG 89, Subsistence; (5) PSC 9410, Crude Grades of Plant Materials; (6) PSC 9430, Miscellaneous Crude Animal Products, Inedible; (7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products; (8) PSC 9610, Ores; (9) PSC 9620, Minerals, Natural and Synthetic; and (10) PSC 9630, Additive Metal Materials. "Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture. "Predecessor" means an entity that is replaced by a successor and includes any predecessors of the predecessor. "Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights -- (1) Within a reasonable time after the defect was discovered or should have been discovered; and (2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item. (b) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims Act (31 U.S.C.3727). However, when a third party makes payment ( e.g., use of the Governmentwide commercial purchase card), the Contractor may not assign its rights to receive payment under this contract. (c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties. (d) Disputes. This contract is subject to 41 U.S.C. chapter 71,Contract Disputes. Failure of the parties to this contract to reach agreement on any request for equitable adjustment, claim, appeal or action arising under or relating to this contract shall be a dispute to be resolved in accordance with the clause at FAR 52.233-1, Disputes, which is incorporated herein by reference. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract. (e) Definitions. The clause at FAR 52.202-1, Definitions, is incorporated herein by reference. (f) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence such as, acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence. (g) Invoice. (1) The Contractor shall submit an original invoice and three copies (or electronic invoice, if authorized) to the address designated in the contract to receive invoices. An invoice must include -- (i) Name and address of the Contractor; (ii) Invoice date and number; (iii) Contract number, line item number and, if applicable, the order number; (iv) Description, quantity, unit of measure, unit price and extended price of the items delivered; (v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on Government bill of lading; (vi) Terms of any discount for prompt payment offered; (vii) Name and address of official to whom payment is to be sent; (viii) Name, title, and phone number of person to notify in event of defective invoice; and (ix) Taxpayer Identification Number (TIN). The Contractor shall include its TIN on the invoice only if required elsewhere in this contract. (x) Electronic funds transfer (EFT) banking information. (A) The Contractor shall include EFT banking information on the invoice only if required elsewhere in this contract. (B) If EFT banking information is not required to be on the invoice, in order for the invoice to be a proper invoice, the Contractor shall have submitted correct EFT banking information in accordance with the applicable solicitation provision, contract clause ( e.g., 52.232-33, Payment by Electronic Funds Transfer- System for Award Management, or 52.232-34, Payment by Electronic Funds Transfer-Other Than System for Award Management), or applicable agency procedures. (C) EFT banking information is not required if the Government waived the requirement to pay by EFT. (2) Invoices will be handled in accordance with the Prompt Payment Act (31 U.S.C. 3903) and Office of Management and Budget (OMB) prompt payment regulations at 5 CFR part 1315. (h) Patent indemnity. The Contractor shall indemnify the Government and its officers, employees and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any United States or foreign patent, trademark or copyright, arising out of the performance of this contract, provided the Contractor is reasonably notified of such claims and proceedings. (i) Payment. (1) Items accepted. Payment shall be made for items accepted by the Government that have been delivered to the delivery destinations set forth in this contract. (2) Prompt Payment. The Government will make payment in accordance with the Prompt Payment Act (31 U.S.C. 3903) and prompt payment regulations at 5 CFR Part 1315. (3) Electronic Funds Transfer (EFT). If the Government makes payment by EFT, see 52.212-5(b) for the appropriate EFT clause. (4) Discount. In connection with any discount offered for early payment, time shall be computed from the date of the invoice. For the purpose of computing the discount earned, payment shall be considered to have been made on the date which appears on the payment check or the specified payment date if an electronic funds transfer payment is made. (5) Overpayments. If the Contractor becomes aware of a duplicate contract financing or invoice payment or that the Government has otherwise overpaid on a contract financing or invoice payment, the Contractor shall- (i) Remit the overpayment amount to the payment office cited in the contract along with a description of the overpayment including the- (A) Circumstances of the overpayment ( e.g., duplicate payment, erroneous payment, liquidation errors, date(s) of overpayment); (B) Affected contract number and delivery order number, if applicable; (C) Affected line item or subline item, if applicable; and (D) Contractor point of contact. (ii) Provide a copy of the remittance and supporting documentation to the Contracting Officer. (6) Interest. (i) All amounts that become payable by the Contractor to the Government under this contract shall bear simple interest from the date due until paid unless paid within 30 days of becoming due. The interest rate shall be the interest rate established by the Secretary of the Treasury as provided in 41 U.S.C. 7109, which is applicable to the period in which the amount becomes due, as provided in (i)(6)(v) of this clause, and then at the rate applicable for each six-month period at fixed by the Secretary until the amount is paid. (ii) The Government may issue a demand for payment to the Contractor upon finding a debt is due under the contract. (iii) Final decisions. The Contracting Officer will issue a final decision as required by 33.211 if- (A) The Contracting Officer and the Contractor are unable to reach agreement on the existence or amount of a debt within 30 days; (B) The Contractor fails to liquidate a debt previously demanded by the Contracting Officer within the timeline specified in the demand for payment unless the amounts were not repaid because the Contractor has requested an installment payment agreement; or (C) The Contractor requests a deferment of collection on a debt previously demanded by the Contracting Officer (see 32.607-2). (iv) If a demand for payment was previously issued for the debt, the demand for payment included in the final decision shall identify the same due date as the original demand for payment. (v) Amounts shall be due at the earliest of the following dates: (A) The date fixed under this contract. (B) The date of the first written demand for payment, including any demand for payment resulting from a default termination. (vi) The interest charge shall be computed for the actual number of calendar days involved beginning on the due date and ending on- (A) The date on which the designated office receives payment from the Contractor; (B) The date of issuance of a Government check to the Contractor from which an amount otherwise payable has been withheld as a credit against the contract debt; or (C) The date on which an amount withheld and applied to the contract debt would otherwise have become payable to the Contractor. (vii) The interest charge made under this clause may be reduced under the procedures prescribed in 32.608-2 of the Federal Acquisition Regulation in effect on the date of this contract. (j) Risk of loss. Unless the contract specifically provides otherwise, risk of loss or damage to the supplies provided under this contract shall remain with the Contractor until, and shall pass to the Government upon: (1) Delivery of the supplies to a carrier, if transportation is f.o.b. origin; or (2) Delivery of the supplies to the Government at the destination specified in the contract, if transportation is f.o.b. destination. (k) Taxes. The contract price includes all applicable Federal, State, and local taxes and duties. (l) Termination for the Government's convenience. The Government reserves the right to terminate this contract, or any part hereof, for its sole convenience. In the event of such termination, the Contractor shall immediately stop all work hereunder and shall immediately cause any and all of its suppliers and subcontractors to cease work. Subject to the terms of this contract, the Contractor shall be paid a percentage of the contract price reflecting the percentage of the work performed prior to the notice of termination, plus reasonable charges the Contractor can demonstrate to the satisfaction of the Government using its standard record keeping system, have resulted from the termination. The Contractor shall not be required to comply with the cost accounting standards or contract cost principles for this purpose. This paragraph does not give the Government any right to audit the Contractor's records. The Contractor shall not be paid for any work performed or costs incurred which reasonably could have been avoided. (m) Termination for cause. The Government may terminate this contract, or any part hereof, for cause in the event of any default by the Contractor, or if the Contractor fails to comply with any contract terms and conditions, or fails to provide the Government, upon request, with adequate assurances of future performance. In the event of termination for cause, the Government shall not be liable to the Contractor for any amount for supplies or services not accepted, and the Contractor shall be liable to the Government for any and all rights and remedies provided by law. If it is determined that the Government improperly terminated this contract for default, such termination shall be deemed a termination for convenience. (n) Title. Unless specified elsewhere in this contract, title to items furnished under this contract shall pass to the Government upon acceptance, regardless of when or where the Government takes physical possession. (o) Warranty. The Contractor warrants and implies that the items delivered hereunder are merchantable and fit for use for the particular purpose described in this contract. (p) Limitation of liability. Except as otherwise provided by an express warranty, the Contractor will not be liable to the Government for consequential damages resulting from any defect or deficiencies in accepted items. (q) Other compliances. The Contractor shall comply with all applicable Federal, State and local laws, executive orders, rules and regulations applicable to its performance under this contract. (r) Compliance with laws unique to Government contracts. To remain registered in the SAM database after the initial registration, the Contractor is required to review and update on an annual basis from the date of initial registration or subsequent updates its information in the SAM database to ensure it is current, accurate and complete. (3) The Contractor shall not change the name or address for EFT payments or manual payments, as appropriate, in the SAM record to reflect an assignee for the purpose of assignment of claims (see FAR Subpart 32.8, Assignment of Claims). ACCESS TO NNSY BY DELIVERY PERSONNEL Delivery personnel requesting access to NNSY must adhere to the requirements set forth in the Clause entitled "REQUIREMENTS FOR ACCESS TO NNSY" herein. All HEC work to be performed by Contractors and NNGAs requires that NNSY Technical Points of Contact (TPOCs) and/or Contracting Officer's Representatives (CORs) be notified of the HEC scope of work prior to starting work. Any changes or deviations in the initial scope of HEC work requires the NNSY TPOCs and/or CORs be informed of the change/deviation. Appendix 250.B-1 through B-3 of OSHECM Chapter 250 for multiple employer work identifies when Contractors and NNGAs are required to assign their Lockout/Tags-Plus Coordinator (LOTC) to coordinate HEC work with the cognizant NNSY LOTC. HEC locks shall be provided by the contractor or NNGA for their employees use. The HEC locks shall have red bodies with name labels or name tags affixed, identifying who installed the HEC lock(s) and a point of contact telephone number. HEC lock name labels and tags must be made of materials that will hold up to the environment to which they are exposed. HEC tags used for Tags-Plus HEC work shall be provided by the cognizant NNSY LOTC to the contractor or NNGA for their use if machinery, equipment, or systems (MES) cannot be locked out.
