Box 149971 Austin TX 78714-9971 ACKNOWLEDGMENT OF AMENDMENTS: The offeror acknowledges receipt of amendments to the Solicitation numbered and dated as follows: AMENDMENT NO DATE B.2 STATEMENT OF WORK The Medical Library at the Louis Stokes Cleveland VA Medical Center (LSCVAMC) is seeking a Contractor with established relationships with publishers to provide subscriptions and support services for serials, database subscriptions, e-book subscriptions, and point of care subscriptions. 1. SCOPE OF WORK Contractor shall be responsible for the management, labor and equipment necessary to provide subscriptions and related services for journals, books, databases, e-books, e-journals, point-of-care and other related online services from multiple publishers to LSCVAMC. Related services include paying publishers, handling claims for non-receipt, cancellations, submission of required reports, electronic access services, and other service problems. The initial list of subscriptions can be found in Attachment A. Additional subscriptions may be added during the year. The majority of the subscriptions have a January 2018 start date. 2. DEFINITIONS Back Orders: Orders that could not be filled by the supplier when originally placed are kept on file pending availability of the material. "Bill-Laters": A type of continuation in which a Contractor does not bill a library customer until the publisher has confirmed the price and/or availability of the item(s). Consignee: The location to which items are shipped. Contractor: The organization providing subscription services to the Department of Veterans Affairs (VA). For purposes of this solicitation, used interchangeably with Offeror. Database: A subscription service that assembles knowledge-based information from a variety of source types. These types can include any mixture of e-books, e-journals, drug information, patient handouts, news updates, and/or videos in any format or content in any type developed specifically for the database. Cross-searching across all of these sources is usually available. e-book: A book-length publication in digital form, consisting of text, images, or both, and produced on, published through, and readable on computers or other electronic devices.[1] Sometimes the equivalent of a conventional printed book, e-books can also be born digital. The Oxford Dictionary of English defines the e-book as "an electronic version of a printed book,"[2] but e-books can and do exist without any printed equivalent. e-books are usually read on dedicated hardware devices known as e-Readers or e-book devices. Personal computers and some cell phones can also be used to read e-books. e-journal: Electronic serials, are scholarly journals or intellectual magazines that can be accessed via electronic transmission. In practice, this means that they are usually published on the Web. They are a specialized form of electronic document, they have the purpose of providing material for academic research and study, and they are formatted approximately like journal articles in traditional printed journals. Licensing: Terms and conditions required by the owners of proprietary systems, software or intellectual property regarding the terms of its use. Online Claiming: Computer-to-computer interactive communication to determine the current status of individual subscriptions, to register service complaints, and/or to facilitate communication between Library staff and Contractor. Periodical: A serial appearing or intended to appear indefinitely at regular or stated intervals, generally more frequently than annually, each issue of which is numbered or dated consecutively and normally contains separate articles, stories or other writings. Serials may be published in any medium or format (including electronic, print, microform, or other non-print media), and may be available through purchase (as with traditional print magazines) or license (as with online journals). Publisher Price: The established publisher's list price for the given subscription period at the time of order acceptance; the price at which a publication is made available to the public. It is established by the publisher and is exclusive of any discount. Loosely, the price quoted by the publisher s catalog. Serial: A publication in any medium issued in successive parts bearing numerical or chronological designations and intended to be continued indefinitely. Serials include: periodicals, newspapers, magazines, annuals, yearbooks, journals, memoirs, proceedings, transactions, and numbered monographic series and other serially published works. Station: A VA Medical Center. Subscription: The term subscription, as used in this agreement, means a payment for access to or ownership of knowledge-based information, in a time limited or permanent access. It can take the form of access to online databases, e-books, e-journals, print journals, back file e-journals, and other related services. VA determines the subscription period, publisher permitting, and Contractors shall, for print subscription, place and service it for the life of the subscription plus three months. Supplemental Invoicing: Billing submitted, on a quarterly basis to cover bill-later titles, unscheduled issues for which publishers charge, etc. 3.0 PERFORMANCE DETAILS 3.1 PERFORMANCE PERIOD Estimated Period of Performance: November 15, 2017 through November 14, 2018 Base Year November 15, 2018 through November 14, 2019 Option One November 15, 2019 through November 14, 2020 Option Two November 15, 2020 through November 14, 2021 Option Three November 15, 2021 through November 14, 2022 Option Four 3.2 PLACE OF PERFORMANCE All work shall be performed at the Contractor s facilities. 4.0 TASKS AND DELIVERABLES 4.1 SUBSCRIPTION SERVICES Contractor shall provide subscription services that will include all tasks necessary to execute and manage orders for new and renewal subscriptions. These tasks fall into the following four critical areas: (1) Ordering subscriptions; (2) Serving as the fiscal agent with publishers; (3) Ensuring timely and complete delivery of ordered subscriptions; and (4) Providing reports and other administrative support for subscription management. 4.1.1 Orders Contractor shall provide subscription services for all subscriptions in all media generally available via agents from foreign and domestic publishers, if the ordering customer can supply sufficient publication information. 4.1.1.1 Order Placement Contractor shall place the orders in an electronic format with the publishers within ten (10) business days of receiving authorization to order. In those cases where follow up is required by the Contractor before an order can be placed, the Contractor shall notify library staff at LSCVAMC within five (5) business days of the problem and resolve in an expeditious manner. 4.1.1.2 Subscription Periods The subscription periods for the initial title list can be found in Attachment A. Publisher permitting, Contractor shall be required to place orders for additional subscriptions at any time during the year. Contractor shall attempt to provide common expiration dates whenever possible. Contractor shall provide administrative and other services for each subscription placed until three months after its expiration or for the life of the subscription (e.g., the publication of the last issue covered by that subscription period). 4.1.1.3 Continuations Pre-order price quotes will contain estimates of costs for "bill-later" items. When actual prices have been confirmed, Contractor shall provide notification of bill-later and associated price. The Station will then determine whether to proceed with purchase of bill-laters. Until all "bill-later" titles have been invoiced, the contractor shall supply, at no charge, a monthly listing by title showing titles billed versus those not yet billed. 4.1.1.4 Rush Orders Upon receipt of a rush order request from an authorized agent from the Station, Contractor shall communicate that order to the publisher with 24-hours. If the publisher will not accept the order without prior payment, the Contractor shall send out such payment within that same 24-hour period. Contractor shall accept orders of any size, at any time, without adding any penalty fee. 4.1.1.5 Bill-To and Ship-To Addresses Contractor shall order subscriptions from publishers who will then ship subscriptions directly to LSCVAMC. Contractor shall support multiple shipping addresses under one billing address. 4.1.2 Fiscal Agent Contractor shall serve as the fiscal agent with publishers. 4.1.2.1 Payment Contractor shall pay all regular subscription orders in advance to the publishers or in accordance with the publisher s agreement, prior to submission of first invoice. Upon request, the contractor shall provide proof of payment of any order invoiced. Changes and frequency of publications will not be justification of additional costs. 4.1.2.2 Refunds For Lost Periodicals, Replacements And Discontinuance Of Publication In the case where replacement is unavailable and refunds are offered instead, Contractor shall make a refund in full of all amounts paid by LSCVAMC. Contractor shall provide refunds or substitute materials from publishers for unexpired portions of subscriptions which discontinue publication during the life of the subscription. Contractor shall provide the option of receiving a refund or accepting a credit when refunds are due. 4.1.2.3 Refunds For Cancellations When a refund has been requested due to timely cancellation (in accordance with the cancellation/refund policy of the publisher) of a subscription, Contractor shall provide refunds to LSCVAMC. Contractor shall provide the option of receiving a refund or accepting a credit when refunds are due. 4.1.3 Ensuring timely and complete delivery Contractor shall provide the following services to ensure timely and complete delivery of all subscriptions. 4.1.3.1 Claims For Missing, Defective Or Mutilated Issues Contractor shall be the contract liaison for LSCVAMC in obtaining from the publishers replacement copies of periodicals found to be defective, mutilated, lost in transit, or otherwise missing, provided the loss is reported in accordance with the publisher s claim policies. Contractor shall notify publishers within one (1) business day of receiving a claim. Contractors shall offer electronic claims services at no additional charge. Contractors shall, upon request of the Government, demonstrate or make available for review its electronic claims system prior to contract award. Contractor shall provide the necessary training and written documentation to enable effective use of the electronic claims system. Contractor s claim system shall include a database of claims in progress where claims can be reviewed (including responses from publishers), updated, or closed. The claim notice sent from the Contractors to the publisher shall include the following information: Title being claimed Specific issues Date of Contractor s order to publishers Order period Amount paid Proof of payment Change of address, if any 3. Contractors shall handle claims for any subscription for up to three (3) months after the life of the subscription. 4.1.3.2 Duplicate Issues Contractor shall deal directly with the publisher to correct duplicate issue errors. 4.1.3.3 Change Of Address Contractors shall notify the publisher of changes of address within five (5) business days of notification by the consignee. 4.1.3.4 Notification Of Ceased Or Discontinued Titles Contractor shall notify LSCVAMC of any ceased or discontinued titles within 30 calendar days. 4.1.4 Administrative Services Contractor shall provide the following administrative services to support subscription ordering services. 4.1.4.1 Contractor Representative Contractor shall assign a representative by name to provide personalized assistance for the LSCVAMC account. The representative shall be available to provide assistance between 8:00 a.m. and 4:30 p.m. ET by email or telephone. Representative shall respond to messages within 24 hours or the next business day. 4.1.4.2 Catalog Contractor shall provide an online catalog of periodical titles available. The catalog shall have as a minimum the following information: Titles ISSN or ISBN Cost Frequency Enumeration Descriptive Information (e.g., title changes with cross references; memberships, if available; publisher, if available) Documented constraints Instructions for electronic access to the publications 4.1.4.3 Renewals Upon request, Contractor shall be able to provide a renewal list as described below. The list shall be provided in Microsoft Excel format with optional print delivery. Contractor may propose other formats which the Station may, at its discretion, choose instead. The listing shall contain the following information: Complete "Bill to" and "Ship to" addresses Title Quantity Subscription Period Format Price: To contain latest known publishers' rates currently available, and the date for which that price was obtained. Indicate if publications are free to the Government or other institutions and how to obtain them, include titles which are part of memberships and/or combination subscriptions, and titles available direct from publisher only. Service fee Frequency All additional titles which may not be due for renewal, but which are on record for a specific consignee Listing of any "direct only" titles, or titles which the Contractors cannot supply Listing of "standing order" or "billed as published" titles Documented constraints (i.e., irregular publication, discontinued, volume year or calendar year basis only, publisher will not pro-rate, no refund available,) shall be noted on subscription listing International Standard Serial Number (ISSN) or International Standard Book Number (ISBN) Publisher 4.1.4.4 Information Bulletins Contractor shall provide monthly email information bulletins updating the latest known information on various publication titles, to minimally include: Ceased publications Suspended publications Publication delays Publishing frequency changes Title changes Title mergers or absorptions Title splits Price changes Publisher changes E-journal changes Bill-later title status 4.1.4.5 Other Communication Contractors shall email all administrative information not covered in information bulletins to the library staff at LSCVAMC. 4.1.4.6 Library Management Reports At no additional charge and on demand, Contractor shall provide electronic access to the following reports: Claims List Contractor shall provide a monthly listing of all outstanding claims and any responses received from the publishers. The report shall be cumulative, by title, for all unresolved claims. Current Subscriptions A list of all current subscriptions shall be available at all times. Titles with claim restrictions A list of titles with claiming deadlines and other restrictions set by the publishers. Standing Order / Bill Later Summary A list of standing-order and bill-later titles on order with adjustments since the last invoice date. 4.1.4.7 Electronic Resource Support In support of electronic subscriptions (e-journals, e-books, databases, and point of care subscriptions), Contractor shall perform the following services and provide reports as described below. Contractor shall provide LSCVAMC with electronic access to reports that include the following information for each electronic subscription: Access and licensing policies Details regarding what the current subscription includes and what happens if the subscription lapses as well as if remote and mobile access is supported. Registration information Instructions, links, and ID numbers needed for registration and access to the subscription. Authentication information Details on what forms of authentication are supported (i.e. IP authentication, username/password, OpenAthens, etc.). For each electronic subscription, Contractor shall provide publishers with the information needed to set up access to the subscription including, but not limited to, the following: Facility IP addresses OpenAthens and/or other facility ID numbers Administrator contact information Facility details (i.e. bed count, FTE). 4.1.4.8 Marc Record Data Upon request, Contractor shall provide electronic files of catalog data in MARC format of book and journal subscriptions for loading into customer s local system. 5.0 ORGANIZATIONAL CAPABILITIES 5.1 Personnel Contractor shall ensure that key personnel have at least two (2) years of experience in servicing organizations similar in size, scope, and complexity to LSCVAMC. Past experience in servicing clients in the health sciences fields is preferred. The position of Representative is considered key personnel. 5.2 Electronic Data Records Contractor shall have the capacity to maintain accurate and current information regarding periodical titles, prices, publisher information, claims status, billing and financial information, communication with consignee locations, address and mailing list maintenance. 5.3 Financial Resources Contractor shall have the financial resources to pay publishers in full and in advance for orders placed with them. Contractor shall further demonstrate sufficient equity and/or credit lines to guarantee prepayment to publishers. The availability of equity and/or credit lines to cover debts incurred in fulfilling all obligations under this award shall be certified to the Contracting Officer prior to the award. 6.0 GENERAL REQUIREMENTS 6.1 Method And Distribution Of Deliverables Contractors shall deliver documentation in electronic format, unless otherwise directed. Within five (5) business days of the problem Reports Upon request Information Bulletins Monthly Provide administrative and other services for each subscription placed Up until 3 months after subscription expiration or the life of the subscription Submit Rush Orders to Publishers 24 hours after receipt of rush order Contractor shall notify VA Stations of any ceased or discontinued titles Within 30 days of the end date B.3 LIMITATIONS ON SUBCONTRACTING-- MONITORING AND COMPLIANCE (JUN 2011) This solicitation includes no limitations on subcontractors. Accordingly, any contract resulting from this solicitation will include this clause. The contractor is advised in performing contract administration functions, the CO may use the services of a support contractor(s) retained by VA to assist in assessing the contractor's compliance with the limitations on subcontracting or percentage of work performance requirements specified in the clause. To that end, the support contractor(s) may require access to contractor's offices where the contractor's business records or other proprietary data are retained and to review such business records regarding the contractor's compliance with this requirement. All support contractors conducting this review on behalf of VA will be required to sign an Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement to ensure the contractor's business records or other proprietary data reviewed or obtained in the course of assisting the CO in assessing the contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs. Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the contractor to protect proprietary information as required by FAR 9.505-4, obtaining access to proprietary information, paragraph (b). The contractor is required to cooperate fully and make available any records as may be required to enable the CO to assess the contractor's compliance with the limitations on subcontracting or percentage of work performance requirement. B.4 SUBCONTRACTING COMMITMENTS--MONITORING AND COMPLIANCE (JUN 2011) This solicitation includes VAAR 852.215-70, Service-Disabled Veteran-Owned and Veteran-Owned Small Business Evaluation Factors, and VAAR 852.215-71, Evaluation Factor Commitments. Accordingly, any contract resulting from this solicitation will include these clauses. The contractor is advised in performing contract administration functions, the CO may use the services of a support contractor(s) to assist in assessing contractor compliance with the subcontracting commitments incorporated into the contract. To that end, the support contractor(s) may require access to the contractor's business records or other proprietary data to review such business records regarding contract compliance with this requirement. All support contractors conducting this review on behalf of VA will be required to sign an Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement to ensure the contractor's business records or other proprietary data reviewed or obtained in the course of assisting the CO in assessing the contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs. Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the contractor to protect proprietary information as required by FAR 9.505-4, obtaining access to proprietary information, paragraph (b). The contractor is required to cooperate fully and make available any records as may be required to enable the CO to assess the contractor compliance with the subcontracting commitments.
