- Attachment 2 Attachment 1 Soliciation SSJ *THIS IS A NOTICE OF INTENT TO AWARD A SOLE SOURCE CONTRACT FOR COMMERCIAL LEGAL SERVICES** The Overseas Private Investment Corporation (OPIC) is the U.S. Government's Development Finance Institution. OPIC's mission is to provide loans, guaranties, political risk insurance, and investment funds to assist American businesses expand into emerging markets. This is a notice issued as required by FAR 5.203. Due to this procurement being for commercial services and having a not-to-exceed value of below the $7,000,000, OPIC intends to award this sole source contract under the authority of FAR 13.501(a)(1). OPIC requires legal counsel to represent and advise OPIC in connection with decisions regarding potential remedies regarding multiple events of default now existing under loan documents related to a restaurant project transaction in the former Soviet Union. OPIC's interests may require the exercise of enforcement rights on all or part of the trust entities tied to the project and loan collateral. It is essential for OPIC to engage a law firm that has existing knowledge of and experience with this transaction in order to minimize risk of serious financial injury to OPIC in its recovery prospects. In order to perform this work, a law firm must have attorneys directly employed by the firm who have provided representation or counsel in connection with the above project in the former Soviet Union and who are experienced in enforcing legal rights to exercise foreclosure over immovable and movable assets, sales of assets, exercise of share pledges, suit against guarantors for collection, suit against project contractors for recoupment, and aid in execution in local courts of US court judgment. The attorneys must also not be limited or prevented by conflict of interest from representing OPIC in this matter. The North American Industry Classification System (NAICS) code for this requirement is 541110 with the size standard of $11 million. This notice of intent is not a request for proposals or quotes; however, all responsible and capable sources may submit statements of capabilities, which, if received within seven calendar days of publication of this notice, shall be considered by OPIC. A determination by the Government not to open the requirement to competition based upon the responses to this notice is solely within the discretion of the Government. This notice does not restrict the Government in any way to an ultimate acquisition approach. Information received will be considered solely for the purpose of determining whether to conduct a competitive procurement. THIS IS NOT A REQUEST FOR PROPOSAL AND IS NOT TO BE CONSIDERED AS A COMMITMENT BY THE GOVERNMENT.
