Description
JUSTIFICATION FOR AN EXCEPTION TO FAIR OPPORTUNITY 1. Contracting Activity: Department of Veterans Affairs (VA) Office of Procurement, Acquisition and Logistics Technology Acquisition Center 23 Christopher Way Eatontown, New Jersey 07724 2. Description of Action: The proposed action is for a firm-fixed-price delivery order issued under the National Aeronautics and Space Administration (NASA) Solutions for Enterprise-Wide Procurement (SEWP) V Governmentwide Acquisition Contract (GWAC), for brand name Imperva software maintenance and Dedicated Support Engineer (DSE) services. 3. Description of the Supplies or Services: VA, Office of Information and Technology, Information Technology Operations and Services, Infrastructure Operations (IO) Security Management has a requirement for Imperva software maintenance and Dedicated Support Engineer (DSE) services. The software maintenance and the DSE is required to support existing VA-owned hardware, for which the software is inherent to the hardware. The DSE is the single point of contact for interfacing between IO Security Service Line and Imperva. The support engineer will have direct access to Imperva s full support resources who works closely with VA Information Technology (IT) security specialist on an ongoing basis to reduce system downtime and maximize data center IT security operations. The software maintenance will consist of software upgrades and updates to include major releases, points releases, services releases and security releases of applicable software on a quarterly basis, and with 48 hours in cases in which a high-risk vulnerability fix becomes available. No software is being renewed or procured under this proposed action. The software maintenance and DSE support are required to ensure the software remains operational. The period of performance is 12 months from September 1, 2019 through August 31, 2020. The total estimated price of the proposed action, inclusive of all options, is $ 4. Statutory Authority: Pursuant to Federal Acquisition Regulation (FAR) Subpart 16.505(a)(4), the following brand name requirement is being justified and approved as an exception to fair opportunity under the statutory authority of Section 41 U.S.C. 4106(c)(2) as implemented by FAR Subpart 16.505(b)(2)(i)(B), entitled Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized. 5. Rationale Supporting Use of Authority Cited Above: Based on market research, as described in Section 8 of this justification, it has been determined that limited competition is available for these brand name items and services. The support will provide all current and future patches, upgrades, security vulnerability remediation, diagnosis and troubleshooting support, and configuration guidance to systems Imperva. The current IO infrastructure is based on existing Imperva appliances and the VA requires support compatible with the existing infrastructure protocols and functionality for continued operational availability. Only Imperva or an authorized reseller can provide the necessary software support and hardware maintenance because of the proprietary source code required to develop and implement software upgrades, firmware and updates. For this reason, any other brand name software would require a complete redesign, reengineering, and redevelopment of the existing infrastructure which could take up to a year.  If another brand name software was used, it would result in replacing this entire infrastructure which would result in duplicated costs of $2.1 million. This is based on previous efforts to create the infrastructure.   Without there being a comparable alternative solution in the marketplace, replacing the current Imperva infrastructure would result in extensive delivery delays, reduction in critical functionality, and extensive duplication of costs that would not be recovered through competition. Without the aforementioned proprietary source code, no source other than Imperva and its authorized resellers can meet VA s needs. System support is required to ensure the Imperva appliances in operation at IO remain up-to-date. Should support for the Imperva systems not be acquired, there is an immediate risk to IO s network security posture. Gaps would exist in the software, thus not allowing full security visibility of database and web application vulnerabilities on the network. 6. Efforts to Obtain Competition: Market research was conducted, details of which are in the market research section of this justification. Limited competition amongst Imperva resellers is anticipated for this brand name acquisition. In accordance with FAR 5.301 and 16.505(b)(2)(ii)(D), award of the resultant delivery order will be synopsized and this justification will be made publicly available on the Federal Business Opportunities Page within 14 days of award. In accordance with FAR 16.505(a)(4)(iii)(A), the justification will be posted with the request for quote on the NASA SEWP V GWAC website with the solicitation to notify all interested parties. 7. Actions to Increase Competition: In order to remove or overcome barriers to competition in future acquisitions for this requirement, the Government will continue to perform market research to determine if there are any new products or maintenance services available in the marketplace that would enable future actions to be fully competed. 8. Market Research: When conducting market research in April 2019, the Government s technical experts reviewed similar software and hardware products including International Business Machines, AMP Tech Solutions and AppSecurity to ascertain if these items could meet VA s requirements. Although other vendors possess similar capabilities to provide the required support and maintenance, only Imperva or an authorized reseller has access to the proprietary source code, existing proprietary protocols, and software application programming interfaces specific to the support and maintenance required for the particular appliances. As a result of the market research the technical experts confirmed the support and maintenance required can only be procured through Imperva or an authorized reseller. No other firm has the capability of providing the support or maintenance coverage for the Imperva appliances necessary to support existing IO requirements. Additionally, none of the other products could meet VA s interoperability and compatibility requirements as outlines in section 5 of this justification. In May 2019 the Contract Specialist conducted market research to ascertain the extent of limited competition among resellers of the required software maintenance and associated services. Through the use of the Provider Look-up tool on the NASA SEWP V GWAC website, 14 Service Disabled Veteran-Owned Small Businesses were identified as resellers of the required Imperva software maintenance and DSE services. Therefore, limited competition is anticipated. 9. Other Facts: None. 10. Technical and Requirements Certification: I certify that the supporting data under my cognizance, which are included in this justification, are accurate and complete to the best of my knowledge and belief. Fair and Reasonable Cost Determination: I hereby determine that the anticipated price to the Government for this contract action will be fair and reasonable based on anticipated limited competition. Additionally, NASA SEWP V has already determined the prices on contract to be fair and reasonable and more competitive pricing may result from competition.
