PRIMARY POINT OF CONTACT: Nicholas Niefeld Email: nick.niefeld@nih.gov Phone: 301-827-2094 DESCRIPTION: INTRODUCTION THIS IS A PRE-SOLICITATION NOTICE OF INTENT (NON-COMPETITIVE) TO AWARD A CONTRACT WITHOUT PROVIDING FOR FULL OR OPEN COMPETITION (INCLUDING BRAND-NAME). The National Institutes of Health (NIH) is the nation�s leading medical research agency and the primary Federal agency whose mission is to seek fundamental knowledge about the nature and behavior of living systems and the application of that knowledge to enhance health, lengthen life, and reduce illness and disability, conducting, supporting and making medical discoveries that improve people�s health and save lives. The National Center for Advancing Translational Sciences (NCATS) is a part of the National Institutes of Health (NIH), which mission it is to catalyze the generation of innovative methods and technologies that will enhance the development, testing and implementation of diagnostics and therapeutics across a wide range of human diseases and conditions. The Stem Cell Translation Laboratory (SCTL) is a state-of-the-art research facility within NCATS� Division of Pre-Clinical Innovation is dedicated to addressing the scientific and technological challenges in the iPSC field. Specifically, the SCTL aims to develop a renewable supply of human cell-based models focusing on new patient-derived iPSC lines. The SCTL requires a maintenance and service agreement to maintain the Essen Incucyte Zoom instruments (Serial Numbers IC50616, IC50617, 41165 and 41166) in fully functioning order via preventive maintenance, software updates, and repair or replacement of parts as needed. Because of the significant investment by NCATS in the purchase of this equipment, using an OEM-Authorized Service Provider is essential for maintaining the integrity of the system. REGULATORY AUTHORITY This acquisition is conducted under the authority of the Federal Acquisition Regulation (FAR) Part 13�Simplified Acquisition Procedures. Contracts awarded using FAR Part 13�Simplified Acquisition Procedures are exempt from the requirements of FAR Part 6�Competition Requirements. FAR Subpart 13.106-1 (b) (1) Soliciting from a single source provides that �[f]or purchases not exceeding the simplified acquisition threshold.�(i)�Contracting officers may solicit from one source if the contracting officer determines that the circumstances of the contract action deem only one source reasonably available (e.g., urgency, exclusive licensing agreements, brand-name or industrial mobilization).� The resultant award will include all applicable provisions and clauses in effect through Federal Acquisition Circular (FAC) 2021-05, dated March 10, 2021. DESCRIPTION OF REQUIREMENT The Contractor shall provide on-site preventive maintenance and repairs and software upgrades (if applicable) for four (4) Essen Incucyte Zoom instruments (Serial Numbers IC50616, IC50617, 41165 and 41166); specifically, 1. Contractor shall provide all replacement parts as required on an exchange (good-as-new) or new part basis in order to maintain each of the four Essen Incucyte Zoom instruments within Original Equipment Manufacturer (OEM) specifications. 2. Contractor shall perform one (1) preventive maintenance on-site inspection during each twelve-month period. Each inspection will evaluate each of the four Essen Incucyte Zoom instruments performance and provide calibrations, alignments, lubrication and parts replacement as necessary to ensure its operation is substantially in accordance with the published technical specifications for each of the four Essen Incucyte Zoom instruments. All preventive maintenance performed must adhere to the OEM�s specifications and custom products manual. 3. Contractor shall provide unlimited technical support (by telephone and/or email) and remote diagnostics support at no additional cost to the Government. If remote diagnostics is unable to resolve an Essen Incucyte Zoom instrument-related issue, Contactor shall provide OEM-certified, trained service provider(s) on a priority response basis to perform on-site repairs of each of the four Essen Incucyte Zoom instruments. 4. Contractor shall provide preventive maintenance, service repairs including emergency service repairs, and technical support between the hours of 8:00 AM and 5:00 PM of Monday through Friday, excluding Federal holidays. 5. Contractor shall use only OEM-certified parts and components for all preventive maintenance and repairs, except for consumables, at no additional cost to the Government. 6. Contractor shall be responsible for shipping and handling costs of each of the four Essen Incucyte Zoom instruments replacement parts and components. 7. Contractor shall provide OEM-certified, trained service provider to perform all preventive maintenance, repairs, remote diagnostics and technical support. 8. On-site service and repairs shall be performed between the hours of 8:00 am and 5:00 pm on Monday through Friday, except Federal holidays. 9. The Contractor shall provide at no additional cost to the Government all necessary documentation, repair parts, spare parts, accessories, maintenance supplies, special tools, test and support equipment, travel and transportation, personnel skill requirements, and other related services required to maintain each of the four Essen Incucyte Zoom instruments in fully functioning condition, except for costs of repairs occasioned by fault or negligence of the Government. 10. Contractor�s obligation to provide the services covered by the maintenance and service agreement for each of the four Essen Incucyte Zoom instruments is conditioned upon the NTDU or end user: (1) notifying Contractor of any malfunction of each of the four Essen Incucyte Zoom instruments, (2) providing necessary information to Contractor related to the malfunction, (3) providing on-site access to each of the four Essen Incucyte Zoom instruments, (4)� informing Contractor of any potential hazards which may be encountered while servicing each of the four Essen Incucyte Zoom instruments, and (5) shipping defective parts or components if necessary, in accordance with Contractor�s instructions. EXCLUSIONS The following shall be excluded from the Scope of Work described herein:� Neglect, misuse, or abuse of each of the four Essen Incucyte Zoom instruments or its components; Use of unauthorized parts, consumables, or reagents with each of the four Essen instruments or its components; Repair, modification or alteration of each of the four Essen instruments or its components, except by authorized personnel; Damage caused by moving of each of the four Essen instruments or its components; Damage caused by failure� of or erratic electrical power; Fire, earthquake, flood, or other force majeure event. The anticipated period of performance is as follows: Base Period (Year 1): April 16, 2021 through April 15, 2022 (12-months) Option Period 1 (Year 2): April 16, 2022 through April 15, 2023 (12-months) Option Period 2 (Year 3): April 16, 2023 through April 15, 2024 (12-months) Option Period 3 (Year 2): April 16, 2024 through April 15, 2025 (12-months) Place of Performance: The place of performance shall be: NIH NCATS 9800B 3005 Bldg B Room 3005 9800 Medical Center Drive Rockville, Maryland 20850 CONTRACTING WITHOUT PROVIDING FOR FULL OR OPEN COMPETITION (INCLUDING BRAND-NAME) DETERMINATION The determination by the Government to award a contract without providing for full and open competition is based upon the market research conducted. Specifically, Essen Instruments, Inc., is the only service provider in the marketplace that can provide the above described services. The essential characteristics of the four (4) Essen Incucyte Zoom instruments (S/N IC50616, IC50617, 41165 and 41166) that limit the availability to a sole source are Essen Instruments is the sole contractor qualified to provide OEM parts, services and technicians for the four instruments mentioned above. The material or service must be compatible in all aspects (form, fit, and function) with existing systems presently installed. The current equipment are four (4) Essen Incucyte Zoom instruments (S/N IC50616, IC50617, 41165 and 41166), and the new item/service must coordinate, connect, or interface with the existing system by Essen Instruments is the sole contractor qualified to provide OEM parts, services and technicians for the four instruments mentioned above In accordance with FAR part 10, extensive market research was conducted to reach this determination. The material or service must be compatible in all aspects (form, fit, and function) with existing systems presently installed. The current equipment was obtained from Essen Instruments, Inc., and has been maintained by Essen Instruments, Inc., since acquisition. The new item/service must coordinate, connect, or interface with the existing system by replacing defective components exactly when required. Since Essen Instruments, Inc., is the manufacturer of its Incucyte Zoom instruments (S/N IC50616, IC50617, 41165 and 41166) and does not sell replacement parts to third parties and does not permit maintenance services of the above instruments to be performed by third parties, only the original manufacturer can meet this requirement. �� The intended source is: ESSEN INSTRUMENTS, INC.���������� 300 W Morgan Rd Ann Arbor, MI, 48108-9108 CLOSING STATEMENT THIS SYNOPSIS IS NOT A REQUEST FOR COMPETITIVE PROPOSALS. However, interested parties may identify their interest and submit a capability statement in response to this notice. � The purpose of this requirement is to obtain a Incucyte S3 and Zoom extended software Maintenance and Service Agreement. The contractor must be an Original Equipment Manufacturer (OEM) Authorized Service Provider of Essen Instruments, and all maintenance and repair services must be performed by OEM certified technicians using genuine OEM parts. A determination by the Government not to compete this proposed contract based upon responses to this notice is solely within the discretion of the Government. All responsible sources may submit a capability statement, proposal, or quotation which shall be considered by the agency. The information received will normally be considered solely for the purposes of determining whether to proceed on a non-competitive basis or to conduct a competitive procurement. Responses to this notice shall contain sufficient information to establish the interested parties' bona-fide capabilities for fulfilling the requirement and include: unit price, list price, shipping and handling costs, the delivery period after contract award, the prompt payment discount terms, the F.O.B. Point (Destination or Origin), the Dun & Bradstreet Number (DUNS), the Taxpayer Identification Number (TIN), and the certification of business size. All offerors must have an active registration in the System for Award Management (SAM) www.sam.gov.
