*****************AMENDMENT TO COMBO**************** The purpose of this amendment is to add Clause 52.216-2 Economic Price Adjustment -- Standard Supplies (Jan 1997) DEVIATION FAR 52.216-2 Economic Price Adjustment As prescribed in 16.203-4(a), insert the following clause. This clause has been modified by increasing the 10 percent limit on aggregate increases, upon approval by the chief of the contracting office. Economic Price Adjustment -- Standard Supplies (Jan 1997) DEVIATION The Contractor warrants that the unit price stated in the Schedule for CLIN 0001 is not in excess of the Contractor�s applicable established price in effect on the contract date for like quantities of the same item. The term �unit price� excludes any part of the price directly resulting from requirements for preservation, packaging, or packing beyond standard commercial practice. The term �established price� means a price that -- Is an established catalog or market price for a commercial item sold in substantial quantities to the general public; and Is the net price after applying any standard trade discounts offered by the Contractor. The Contractor shall promptly notify the Contracting Officer of the amount and effective date of each change in price on or before 30 June each year of the contract. Each corresponding contract unit price shall be changed by the same percentage that the established price is changed. The change in price shall apply to those items delivered on and after the effective date of the change in the Contractor�s established price, and this contract shall be modified accordingly. Price adjustment will only occur one time per year. The Contractor will provide all documentation required in paragraphs (f) to establish a change on or before 30 June each year. The new price will be effective 1 July of the same year. If the price change documentation is received later than 30 June, the new price will be effective once Contracting Officer receives and verifies the change in the applicable established price and is able to modify the contract. The new effective price will last until a price adjustment is established the following year. The change in contract unit price shall not apply to quantities scheduled under the contract for delivery before the effective date of the increased contract unit price, unless failure to deliver before that date results from causes beyond the control and without the fault or negligence of the Contractor, within the meaning of the Default clause. No modification changing a contract unit price shall be executed until the Contracting Officer verifies the change in the applicable established price. Within 30 days after receipt of the Contractor�s price change documentation or by 30 June each year if no price change documentation is received, the Contracting Officer may cancel, without liability to either party, any undelivered portion of the contract items affected by the requested change. During the time allowed for the cancellation provided for in subparagraph (d)(2) of this clause, and thereafter if there is no cancellation, the Contractor shall continue deliveries according to the contract delivery schedule, and the Government shall pay for such deliveries at the contract unit price, changed to the extent provided by paragraph (c) of this clause. The aggregate of the increase or decrease in any contract unit price under this clause will only change based on the two established material indices from which the unit item price is derived. The two primary raw materials in anhydrous sodium acetate are acetic acid and sodium hydroxide. The primary raw material in acetic acid is methanol. The change in the material price for methanol will be based on the IHS Methanol Index, North American Contract Net Transaction, FOB Houston, Cents per Gallon average for the months of October through the following March of the previous winter season. To determine the price change for one pound of acetic acid, the following steps will be used: A. Divide the change in the methanol price by 663 (6.63 lbs is the weight per gallon of methanol converted to cents per gallon of methanol to cents per pound. Multiply 6.63 by 100 to convert from cents to dollars and that gives 663). B. Multiply the result of item A by 0.545 (the yield or conversion of methanol to acetic acid) to get the increase/decrease per pound of acetic acid. Formula t = acetic acid price change�� m = change in methanol price t = m/663(.545) The initial price for acetic acid will be based on the average for the months of October 2020 through March 2021. The change in the material price for sodium hydroxide (caustic soda) will be based on the IHS Chemical Global Chlor?Alkali Monthly Market Summary average for a Caustic Soda product prices using the United States, Liquid Index, FOB USGC, DST (dry short ton). The initial price for caustic soda will be based on the monthly (May 2021) IHS Caustic Soda Index price. The pricing may be adjusted each July 1 based on the changes each year in the previous IHS price versus the current IHS price. Since initial pricing will be fixed through June 30, 2022, for the 2022 price review, the baselines outlined above will be used to compare against the 2022 values. Cryotech shall provide Joint Base Elmendorf-Richardson with the necessary documentation to substantiate such annual index prices for methanol and caustic soda, whether Cryotech is requesting an increase or decrease. To determine the price change for one metric ton of anhydrous sodium acetate solid runway deicer, the following steps will be used: A. Multiply the change in acetic acid price (dollars per pound) by 1.4 (1.4 is the factor of how much acetic acid produces one metric ton of NAAC). B. Convert the change in caustic soda price from dry short ton (DST) to pound. (DST * 50% solution / 2,000) C. Multiply the change in caustic soda price (dollars per pound) by 2.0 (2.0 is the factor of how much caustic soda produces one metric ton of NAAC). D. Add the increase/decrease from A and C together to show the total change in dollars per pound. E. Multiply the result from step D by 2,205 to convert the change in dollars per pound to dollars per metric ton (MT). F. Round to the nearest dollar per MT. Formula t = acetic acid price change ������������������������� ������ s = caustic soda price change from dry short ton to pounds - (DST * 50% solution / 2,000) 2205(1.4(t) + s(2)) = EPA amount (price change per metric ton of sodium acetate solid deicer) (End of Clause) This requirement is solicited as brand name only. The United States Air Force, Joint Base Elmendorf-Richardson (JBER), requires Cryotech Sodium Acetate for airfield deicing operations.� The minimum obligated amount of this contract is 15 tons with an anticipated maximum estimated quantity over the life of the contract (5 year ordering period) is 754 tons. Must be certified to meet the requirements set by Society of Automotive Engineer (SAE) Aerospace Material Specifications (AMS) most current editions of SAE AMS 1431E, Compound, Solid Runway and Taxiway Deicing/Anti-icing. Response time, regardless of time listed in Sam.gov is 17 September, 2021 at 5pm Alaska Daylight Time. Occasionally the system lists a different time or no time at all. Any quote received after 17 September, 2021 at 5pm will be late and could be considered nonresponsive.
