Description
SCOPE Alliance has entered into a separate subcontract for the Kestrel System, to include technical, hardware and software maintenance support.� The Kestrel System will be housed in the ESIF Building, 15257 Denver West Parkway, Golden, CO 80401 on the 3rd Floor Data Center on the South Table Mountain (STM) Campus.� � Alliance is seeking sources to establish a single Master Lease-to-Purchase Agreement with an organization identified under this SSN. The Kestrel System is to be delivered to NREL in two phases: Phase 1 of the High Performance Computer (HPC) is expected to be delivered and accepted on or around August 2022, and Phase 2 is expected to be on or around January 2023. The current subcontract between NREL and the manufacturer of the Kestrel System requires payment in full for each of the two phases (independent of one another) within 30 days of acceptance of each phase. Under the terms of the anticipated lease agreement with a financial organization, the �Lessor� will issue payments to the manufacturer of the Kestrel System for each of the two phases within 30 days of NREL�s acceptance of the Kestrel system; and NREL will make payments over a period of 36-48 months for each phase of design and delivery until the financial institution is repaid in full according to the terms of the lease agreement and two distinct amortization schedules. It is anticipated that a single agreement will be issued for two distinct payments with separate amortization schedules based on a combination of pre-negotiated fee factors and the interest rate set in a proposed Table publicized at the time and date of acceptance of each phase of the Kestrel System. The Kestrel System is to be used throughout the lease term. Title to the system shall remain with Alliance, with the Lessor holding a purchase money security interest in the system until the lease is satisfied in full, at such time title to the system shall vest with the U.S. Government and the Lessor shall be required to release any applicable security interest in the system. This title ownership and dynamic removes the requirement for the Lessor or Alliance, to purchase and provide insurance specific for the Kestrel System over and above the insurance provided for the NREL site and Government-owned equipment therein. Acceptance of these conditions is required to be considered �responsive� to this SSN and for consideration for consideration in the planned ensuing RFP for the lease.
