Page 10 of 43 Performance Work Statement Satellite Television Services This procurement is to provide service, maintenance, replacement equipment, and programming of existing Satellite Television Service at the Michael E. DeBakey VA Medical Center (MEDVAMC), 2002 Holcombe Blvd, Bldg. 100, Houston, TX 77030. The contractor shall furnish all labor, supervision, management support, equipment, supplies and materials. The period of performance is anticipated to be from July 17, 2022 July 16, 2023 with the provision of four (4) option years. SCHEDULE Work hours are from 8:00 am 5:00 pm Central Time, Monday through Friday, excluding Federal Holidays. The following are Federal Holidays observed by the facility and the Contractor shall not expect access to the VA Facility on these dates unless notified otherwise by the Contracting Officer Representative (COR). New Year's Day Labor Day Martin Luther King, Jr. Columbus Day Washington's Birthday Veterans Day Memorial Day Thanksgiving Day Independence Day Christmas Day The Federal Government shall also observe any day specifically declared by the President of the United States or any other day declared by the President of the United States to be a federal holiday. SCOPE OF WORK The Contractor shall provide satellite subscription television service for patient entertainment at the MEDVAMC. Five hundred-seventeen (517) televisions are covered under this scope of work, which is subject to change. Service is required to be compatible with pre-existing equipment, as this does not need to be replaced at this time. The Contractor s equipment is required to be compatible with our existing satellite television equipment shown in Table 1. This equipment consists of a modulated rack system with existing head end room with modulators and combiners also slim line satellite dish. Vendor must provide packages that are 110 channels or more with the mandatory listed channels included. The following channels/stations are required: American Movie Classics, CNBC World, Game Show Network, Gospel, ION, Travel Channel, Weather Channel, TV Guide Network, WE: Women s Entertainment, Fox Sports, Fox News, CNN, ESPN, ESPN 2, ESPN News, C-SPAN, C-SPAN 2, National Geographic, Discovery, History, Animal Planet, ABC Family, A&E, CNBC, Comedy Central, Daystar, Disney Channel, E! Entertainment TV, Food Network, FX, Lifetime, MSNBC, MTV, USA Network, Nickelodeon, Spike TV, Syfy, TBS, TLC, Bloomberg Television, TNT, and TV Land. Other channels included will be the vendors basic cable subscription package, the local city channels and our in-house chapel channel. Note: The VA has the right to add and/or remove channels. However, it is likely the MEDVAMC will require the addition of open channels for use of local programming (examples: VA only channels and/or Closed- Captioned TV (CCTV)). Reliability: The Contractor shall be responsible for maintaining the operation of the hardware pertaining to satellite television service. Maintenance and Support: Maintenance and support will begin after programming and testing is complete and accepted by the MEDVAMC site. Maintenance and support will be provided throughout the option year periods, if exercised by the Government. The Contractor shall provide 24-hour/7-day/365-day (24x7x365) user support through a call center. The Satellite television service shall be available to a user on a 24x7x365. Maintenance shall be scheduled during off peak hours, after 3:00 pm. The Contractor shall provide 24x7x365 technical support. The Contractor shall provide on-site support when required by the MEDVAMC. The Contractor shall physically respond onsite within 24 hours for issues that require onsite support. Contractor shall notify the delegated Government point of contact for the contract at a minimum two (2) hours prior to any onsite scheduled or repair work. Should current equipment break (receivers/modulators), replacement equipment (most current commercially available) shall be provided for installation to continue service Installation Requirements: Should additional equipment be necessary, the Contractor shall procure all equipment and services necessary for the programming of Satellite television service. ID Badges: All Contractor personnel are required to wear contractor owned identification (I.D.) during the entire time they are on the MEDVAMC properties. I.D. badges must have an identification picture, name of the individual, and the name of the represented company depicted on it. Parking: It is the responsibility of the Contractor s personnel to park in the appropriate designated parking areas. Parking information is available from the MEDVAMC Police and Security Service. The MEDVAMC facilities will not invalidate or make reimbursement for parking violations of the Contractor s personnel under any circumstances. Travel: Transportation charges for Contractor s service personnel shall be included in contract price and will not be billed separately. CONFORMANCE STANDARDS Contract service shall ensure that the equipment provided with their service functions in conformance with the specifications used when the equipment was procured by the VAMC, and any upgrades/updates, as well as following most current published standards/ specifications/regulations: Manufacturer s specifications, Association for the Advancement of Medical Instrumentation (AAMI), Joint Commission for the Accreditation of Healthcare Organizations (JCAHO), National Fire Protection Agency 99 (NFPA-99), Center for Device and Radiological Health (CDRH), Original Equipment Manufacturer (OEM), American Hospital Association (AHA), Institute of Electrical And Electronic Engineers (IEEE), Underwriters Laboratories (UL) ,Occupational Safety and Health Administration (OSHA), College of American Pathologists (CAP), VAMC standard operating procedures, and any other Federal, State, and Local regulations pertaining to the equipment listed for this contract. Contract service shall ensure that the equipment functions in conformance with the latest published edition of NFPA-99, UL, OSHA, VA, and CDRH. The contractor shall supply certification of tuberculosis testing completion prior to commencing any work located on the MEDVAMC campus. PARTS The Contractor shall furnish and replace parts in accordance with the system s specifications. The Contractor has ready access to all parts, including unique and/or high mortality replacement parts. All parts supplied shall be compatible with existing equipment. The contract shall include all parts [except -if applicable - those parts specifically listed as being EXCLUDED]. The contractor shall use new original equipment manufacturer (OEM) parts. All parts shall be of current manufacture and have complete versatility with the presently installed equipment. All parts shall perform identically to the original equipment specifications. Rebuilt parts, used parts or those removed from other equipment, shall not be installed without specific approval by the CO or the COR. (The Contractor shall also list any excluded parts under the service contract). Gray market items are Original Equipment Manufacturer s (OEM) goods sold through unauthorized channels in direct competition with authorized distributors. This procurement is for new OEM medical supplies, medical equipment and/or services contracts for maintenance of medical equipment (i.e. replacement parts) for VA Medical Centers. No remanufactures or gray market items will be acceptable. Vendor shall be an OEM, authorized dealer, authorized distributor or authorized reseller for the proposed medical supplies, medical equipment and/or services contracts for maintenance of medical equipment (i.e. replacement parts), verified by an authorization letter or other documents from the OEM, such that the OEM s warranty and service are provided and maintained by the OEM. All software licensing, warranty and service associated with the medical supplies, medical equipment and/or services contracts for maintenance of medical equipment shall be in accordance with the OEM terms and conditions. The delivery of gray market items to the VA in the fulfillment of an order/award constitutes a breach of contract. Accordingly, the VA reserves the right enforce any of its contractual remedies. This includes termination of the contract or, solely at the VA s election, allowing the Vendor to replace, at no cost to the Government, any remanufactured or gray market item(s) delivered to a VA medical facility upon discovery of such items. SERVICE MANUALS/TOOLS/EQUIPMENT/TRAVEL The VAMC shall not provide travel, tools, (test) equipment, service manuals or service diagnostic software to the contractor. The contractor shall obtain, have on file, and make available to its FSE's all travel, operational and technical documentation (such as; operational and service manuals, schematics, and parts list) which are necessary to meet the performance requirements of this contract. The location and listing of the service data manuals, by name and/or the manuals themselves shall be provided to the CO upon request. OPERATIONAL UPTIME REQUIREMENTS The cable service shall be operable and available for use 90% of the normal operating hours of the equipment as detailed in the Hours of Coverage section. Downtime will be computed from notification of problem during normal work hours. Scheduled maintenance will be excluded from downtime. (Normal work hours are 08:00 AM to 05:00 PM, Monday through Friday, excluding federal holidays). Operational Uptime will be computed during a month-long time period. There shall be twelve (12) months within a base or option year with the first month starting on the effective date of the award. Repeated failure to meet this requirement can subject the contractor to DEFAULT action. LIQUIDATED DAMAGES Contractor shall be liable to the Government for any damage done to Government property caused by Contractor or Contractor personnel and at no expense to the Government. CONTACT INFORMATION Upon contract award, the Contractor must provide valid and reliable contact information for service, emergency and technical assistance requests. ADDITIONAL CHARGES There shall be no additional charge for time spent at the site (during, or after the normal hours of coverage) awaiting the arrival of additional FSE and/or delivery of parts. In any case, the delegated Government Point of Contact shall be explicitly notified in advance that additional charges will be incurred, prior to beginning such work. In such instances that the MEDVAMC agrees the work is not within the scope of the contract, and the MEDVAMC desires the Contractor to perform service, a separate purchase order will be issued to the Contractor for the work. Any service required which the Contractor believes to be in excess of the contract provisions and require additional payment (e.g., work beyond normal work hours) shall not be performed without prior authorization from the Contracting Officer (CO), who will arrange a separate purchase order to pay for the additional service if desired by the MEDVAMC. The Government shall not be responsible for incidental charges including, but not limited to, parking, tolls, mileage, phone, etc., on straight time or overtime work. REPORTING REQUIRED SERVICES BEYOND THE CONTRACT SCOPE The Contractor shall immediately, but no later than 24 (twenty-four) consecutive hours after discovery, notify the CO and delegated Government Point of Contact (in writing) of the existence or the development of any defects in, or repairs required, to the Government owned-equipment which the Contractor considers he/she is not responsible for under the terms of the contract. The Contractor shall furnish the CO and delegated Government Point of Contact with a written estimate of the cost to make necessary repairs. CONDITION OF EQUIPMENT The Contractor accepts responsibility for the equipment in ""as is"" condition. Failure to inspect the equipment prior to contract award will not relieve the Contractor from performance of the requirements of this contract. REMOVAL OF EQUIPMENT The Contractor shall coordinate with the delegated Government Point of Contact the removal of equipment should a piece of equipment require repair at the Contractor s plant. Government property cannot be removed from the station without a signed Property Pass. This Property Pass may be obtained from Acquisition & Material Management Service, Personal Property Section, 4A-320 after removal is authorized by the delegated Government Point of Contact. The Contractor may not remove equipment from Government site for minor repairs only. The Contractor shall be responsible for damage or loss of equipment while in the Contractor s charge. ADDITIONAL SERVICES The Contractor shall ensure all equipment covered in this performance work statement shall be in optimum working condition at the end of performance period provided that the delegated Government Point of Contact is notified of any deficiencies at least one (1) day before the contract expiration date. Any changes, updates or retrofits made on any component or system shall be reported to the COR for annotation on station equipment manuals and records. For any service call made during normal working hours, the Contractor s personnel shall report their arrival and departure to the delegated Government Point of Contact. Contractor shall include, at no extra charge, any engineering and software update necessary for continued optimum operation of the satellite television services listed in this contract. Contractor is not required to include remote monitoring capabilities allowing for remote diagnostics and troubleshooting. The Contractor s personnel shall complete a full-service report, in writing, after each service call (emergency or scheduled) and submit either a hard copy or an electronic version of this report to the delegated Government Point of Contact within five (5) days after the service day. MOBILE MEDIA SCANNING The Contractor will identify if removable media (i.e. USB or DVD/CD Device) is required to perform his/her duties. Personally-owned USB thumb drive utilization is prohibited. Non-VA support personnel must furnish their own FIPS140-2 certified USB thumb drives, and only with the permission of a designated MEDVAMC supervisor. All USB drives must be scanned with an antivirus program running current virus definitions by the local MEDVAMC staff, prior to connection to any MEDVAMC device. The delegated Government Point of Contact shall ensure the removable media is scanned with anti-virus software running current virus definitions prior to connection to any medical device system. The computer system for scanning removable media is located in the biomedical engineering shop, Building 100, Room BA200. SOFTWARE UPGRADES & UPDATES The Contractor shall provide all operational upgrades to the equipment hardware and operating system software that materially affects the performance of the equipment, without additional charge to the Government. These enhancements to the Contractor s equipment shall be delivered to the Government site and installed by the Contractor within 60 days of their issuance or date of first commercial availability. SAFETY REQUIREMENTS In the performance of this contract, the Contractor shall take such safety precautions as the CO may determine to be reasonably necessary to protect the lives and health of occupants of the building. The Contractor shall have one supervisory employee, who will disseminate requirements to those who work at our facility, report to the Safety Manager s office for a one- (1) time training class before working on-site. The CO or delegated Government Point of Contact will notify the Contractor of any noncompliance with the foregoing provisions and the action to be taken. The Contractor shall, after receipt of such notice, immediately correct the conditions to which attention has been directed. Such notice, when served on the Contractor or his representative at the site of work, shall be deemed sufficient for the purpose aforesaid. If the Contractor fails or refuses to comply promptly with such notice, the CO may issue an order stopping all or any part of the work and hold the Contractor in default. The MEDVAMC, CO, delegated Government Point of Contact or any of its and/or their associates, employees or descendants under any conditions or circumstances shall not be held responsible for any safety incident or any injury or any inconvenience experienced by the Contractor, their associates, or subcontractors while performing the services, labor, travel, software upgrades or maintenance included within this contract to the extent applicable by federal, local and state law with federal law taking precedence. INSURANCE Worker compensation and employer's liability: - Contractors are required to comply with applicable Federal and State Worker Compensation and occupational disease statutes. General Liability: - Contractors are required to have Bodily Injury Liability Insurance coverage written on the comprehensive form of policy of at least $500,000 per occurrence. Property Damage Liability: - Contractors are required to have Property Damage Liability insurance coverage of at least $500,000. OTHER REQUIREMENTS The Contractor shall require their personnel to comply with all MEDVAMC rules and regulations pertaining to the conduct of his/her employees while on station. Particular attention is drawn to the fact that the VAMC is a NO SMOKING Facility. Smoking is not permitted in any building and is only permitted in designated smoking shelters on the VA campus. Contractor shall have use of station telephones to make business calls related to MEDVAMC Government-owned equipment. Misuse of this privilege will necessitate the need to require the contractor to use public telephones. UNAUTHORIZED USE OF GOVERNMENT EQUIPMENT The Contractor shall not allow his/her employees, including Subcontractors employees, to open desk drawers, cabinets, or to use office equipment, including the use of non-pay telephones for any purpose other than a local emergency call. The Contractor shall be responsible to provide all necessary equipment, tools, parts, and materials to perform the work. The Government shall not be obligated to provide any equipment, tools, parts, and materials to assist the Contractor in performing the work. GOVERNMENT PARTY TO EXECUTE AND MODIFY THE CONTRACT After the contract has been in force for a period of time, it may be necessary to change and/or modify the operations to provide better service. Pursuant to FAR 43.102, no Government personnel other than the CO can execute contract modifications on behalf of the Government. PRIVACY/SECURITY The contractor shall not have electronic connectivity to the devices. The Contractor shall only have access to patient databases and PHI when physically troubleshooting image quality and other specific imaging related maintenance. Any electronic or magnetic data storage devices such as hard drives, etc. shall be turned into the Information Security Officer (ISO). Electronic or magnetic data storage devices are not to be removed from VA property. The C&A requirements do not apply, and a Security Accreditation Package is not required PAYMENT All invoices shall be submitted in arrears, properly prepared in accordance with FAR 52.212-4, contain sufficient details, and match with the service tickets for the work rendered. A. Invoices Invoices shall be properly prepared and sent electronically to the VA Financial Services Center for payment processing via their electronic e-Invoice system. Invoices shall be sent in arrears at the beginning of the first month of each quarter following the quarter in which the services were rendered and billed for. At a minimum, all invoices shall include the following details: o Contract No. o Purchase Order No. Correct purchase order number which shall be issued by the Contracting Officer after the contract is awarded. Invoices without correct purchase order number shall be rejected and returned to the Contractor. o Item(s) covered (to include serial #'s) o Description of the services rendered o Billing period in which the services were rendered o Invoice number and date Payments shall be made in accordance with the prompt payment act out of the Government annual appropriated funds obligated in a purchase order which shall be issued after the contract is awarded. VHA Supplemental Contract Requirements for Ensuring Adequate COVID-19 Safety Protocols for Federal Contractors (Amended December 6, 2021) 1. Contractor employees who work in or travel to VHA locations must comply with the following: a. Documentation requirements: 1) If fully vaccinated, shall show proof of vaccination. i. NOTE: Acceptable proof of vaccination includes a signed record of immunization from a health care provider or pharmacy, a copy of the COVID-19 Vaccination Record Card (CDC Form MLS-319813_r, published on September 3, 2020), or a copy of medical records documenting the vaccination. 2) If unvaccinated and granted a medical or religious exception, shall show negative COVID-19 test results dated within three calendar days prior to desired entry date. Test must be approved by the Food and Drug Administration (FDA) for emergency use or full approval. This includes tests available by a doctor s order or an FDA approved over-the-counter test. 3) Documentation cited in this section shall be digitally or physically maintained on each contractor employee while in a VA facility and is subject to inspection prior to entry to VA facilities and after entry for spot inspections by Contracting Officer Representatives (CORs) or other hospital personnel. 4) Documentation will not be collected by the VA; contractors shall, at all times, adhere to and ensure compliance with federal laws designed to protect contractor employee health information and personally identifiable information. 2. Contractor employees are subject to daily screening for COVID-19 and may be denied entry to VA facilities if they fail to pass screening protocols. As part of the screening process contractors may be asked screening questions found on the COVID-19 Screening Tool. Check regularly for updates. a. Contractor employees who work away from VA locations, but who will have direct contact with VA patients shall self-screen utilizing the COVID-19 Screening Tool, in advance, each day that they will have direct patient contact and in accordance with their person or persons who coordinate COVID-19 workplace safety efforts at covered contractor workplaces. Contractors shall, at all times, adhere to and ensure compliance with federal laws designed to protect contractor employee health information and personally identifiable information. 3. Contractor must immediately notify their COR or Contracting Officer if contract performance is jeopardized due to contractor employees being denied entry into VA Facilities. 4. For indefinite delivery contracts: Contractor agrees to comply with FAR 52.232-99 and VHA Supplemental Contract Requirements for any task or delivery orders issued prior to this modification when performance has already commenced.
