CONSTRUCTIONS AND OPERATION TO DEVELOP AND IMPLEMENT THE POLISH

875-4009 Poland's Agency for Motorways Construction and Operation (the
''Agency'') invites submission of qualification and proposal data
(collectively referred to as the ''Proposal'') from interested U.S.
firms which are qualified on the basis of experience and capability to
provide technical assistance to develop and implement the Polish
Motorways Program (the ''Program''). The overall cost of the Program is
estimated at $8 billion over the next 10-15 years. It is intended that
multiple segments will be separately financed, constructed and
operated by the private sector using the Build-Operate-Transfer (BOT)
concession financing model with multilateral finance institutions
providing partial risk guarantees, loans, equity investments and loan
syndications. The objectives of the technical assistance assignment
include: (i) the development of a phased program for the award of
concessions; (ii) the preparation of an Information Brief which
outlines economic, legal, financial, and technical conditions governing
the Program; (iii) the identification of financially viable motorway
sections; and (iv) the preparation of design and tendering documents
including assistance in negotiation of the first private motorway
concession. The scope of work is broken down into the following phases:
Phase 1: Pre-tender Preparations (4-6 months). Assist the Agency in
structuring the overall concession program, including preparation of an
Information Brief and a master plan that identifies a financially
viable initial concession project and develops a program for the timing
and phasing of subsequent concession projects. Phase 2: Initial
Concession Project (12-18 months after completion of Phase 1). Assist
the Agency in designing, developing, implementing and negotiating the
initial motorway concession project. Ideally, the pre-qualification and
tendering processes for the initial concession project should commence
in 1995. Phase 3: Subsequent Concession Projects (OPTIONAL). Assist
the Agency in the design, preparation, evaluation, and negotiation of
subsequent concession projects in order to ensure the successful
implementation of the entire Program. The activities within Phase 1 and
Phase 2 may overlap. The technical assistance assignment is for Phase
I and Phase 2 only. However, at a later date and at the discretion of
the Agency, the Agency may enter into negotiations with the Consultant
for additional services related to Phase 3. A detailed Request for
Proposals (RFP), including the Terms of Reference and a background
definitional mission report are available from the U.S. Trade and
Development Agency (''USTDA''), Room 309, SA-16, Washington, DC
20523-1602. Requests for the RFP should be faxed to the IRC, USTDA
(fax: (703) 875-4009). Please include: your name, company name,
address, and telephone number. If you would like the RFP sent to you
via courier delivery service, include the name of the courier company
and your firm's account number. No phone calls will be honored. The
selected U.S. firm will be paid in U.S. Dollars from a $1 million grant
to the Agency by USTDA. The Grant Agreement has been signed by the
Agency and TDA and will become effective upon ratification by the
Polish Council of Ministers. TDA anticipates a preproposal conference
will be held at TDA offices on June 14, 1995. Interested firms should
advise TDA at the TDA fax noted above, by June 5, 1995, of their
intention to attend the preproposal conference. Time and date will be
confirmed in a subsequent CBD announcement. Only U.S. firms and
individuals may bid on this USTDA-financed activity. Interested firms,
their subcontractors, and individuals (including employees of such
firms and subcontractors) must qualify under USTDA's nationality
requirements as of the due date for submission of qualifications and
proposals and, if selected to carry out the USTDA-financed activity,
must continue to meet such requirements throughout the duration of the
USTDA-financed activity. All goods and services to be provided by the
selected firm and its subcontractors must have their nationality,
source, and origin in the United States or Poland. In no case shall
goods or services having their nationality, source or origin in Poland
exceed twenty percent of the amount of the grant provided by USTDA.
Details of the TDA nationality requirements are included in the RFP, as
well as TDA mandatory contract clauses. Interested U.S. firms should
submit eight (8) copies of their proposal in English to Mr. Grelik no
later than close of business July 10, 1995. Evaluation criteria will
consist of the following: Corporate experience and expertise in the
proposed field of endeavor (10 points); general experience in Central
Europe and Poland (10 points); proposed methodology and approach,
including uniqueness of approach (40 points); expertise as reflected by
the Applicant's proposed project personnel (20 points); and proposed
level of effort and availability of key individuals in Poland for
extended periods of time (20 points). Price will not be a factor in
contractor selection, and, therefore, cost proposals should NOT be
submitted. The Agency reserves the right to reject any and/or all
Proposals. The Agency also reserves the right to contract with the
selected firm for subsequent work related to the project. The Agency or
USTDA are not bound to pay for any costs associated with the
preparation and submission of Proposals. Firms agree by their response
to this announcement to abide by the procedures established for the
