Corporation (''PBGC'' or ''the Corporation'') is a wholly owned United
States Government Corporation established to administer the pension
plan termination insurance program created under Title IV of the
Employee Retirement Income Security Act of 1974 (''ERISA''), as
amended, 29 U.S.C. SS 1301-1461 (1988). The Corporation may need to
procure outside legal services from one or more qualified firms or
individuals through full amd open competition. Specifically, the
contractor or contractors selected for award under the solicitation
shall assist the Corporation and its Office of the General Counsel with
large and protracted bankruptcy proceedings involving the assertion and
litigation of PBGC's claims and/or with other commercial transactions
and security arrangements in connection with fulfilling the
Corporation's statutory mission. The litigation and negotiations in
this area can be lengthy and complex in nature. Contractors must be
available to commence work on very short notice. Therefore, at a
minimum, prospective contractors must have a Martindale-Hubbell ''AV
rating'' for their law firm and have at least five attorneys with
expertise in the areas noted above. Additionally, all contractors must
agree to abide by PBGC's policy regarding conflicts of interest.
Performance under any contract or contracts that may be issued under
the solicitation will be required in Wilmington, Delaware and may
include the U.S. Bankruptcy Court for the District of Delaware, the
U.S. District Court for the District of Delaware and the U.S. Court of
Appeals for the Third Circuit. The period of performance is from date
of award through September 30, 1996, with four one year options.

RP95-0025. Telephone requests will not be honored. The closing date for
the receipt of request is fifteen (15) days from the date of
