DAKF11) This Request For Quotations No. DAKF11-97-Q-0004, for the
acquisition of nationwide Department of the Army Management and
Leadership Training, is hereby issued as a combined
synopsis/solicitation for commercial items prepared in accordance with
the format in FAR subpart 12.6, as supplemented with additional
information included in this notice. This announcement constitutes the
only solicitation; offers are being requested and a written
solicitation will not be issued. The solicitation document and
incorporated provisions and clauses are those in effect through Federal
Acquisition Circular 90-46. Procurement is being solicited on a sole
source basis (see Numbered Note 22). Anticipated awardee -- Franklin
Covey Company (LB). SIC Code 8299; Small Business Size Standard $5 Mil.
Offerors shall provide a commercial published price list itemizing
supplies, services, and licensing fees associated with the "Seven
Habits of Highly Effective People", "Principle Centered Leadership",
and "First Things First" training courses. Price lists shall be current
and include pricing for both the Standard Video and Culture Wide
License Agreements. Licensing arrangements, to include facilitator
agreement, shall be submitted as separate documents. Pricing shall
reflect those prices offered by the offeror to it's best commercial
customers. Estimated quantities are not provided for by this
solicitation but rather shall be those quantities stated on individual
delivery orders for authorized participants. Unit prices for
quantities stated on delivery orders shall be that unit price which is
governed by a tiered pricing structure including any cumulative
purchase level discounts. Pricing shall cover a base year and two, one
year option periods (1 Oct 97-30 Sep 2000). Offers may be transmitted

projected scope are as follows: The contractor shall provide quality
Management and Leadership Training for the courses, and pursuant to,
the license agreements cited above. Scope extends training to
authorized military and civilian personnel within the U.S. Army Forces
Command (FORSCOM), Training and Doctrine Command (TRADOC), and the
Army Logistics Management College (ALMC), encompassing all geographic
regions and associated military installations, tenant activities, and
reserve components. Dates and specific places of delivery will be
identified upon issuance of individual delivery orders against an
Indefinite Delivery Indefinte Quantity (IDIQ) type contract. Deliveries
and acceptance of all supplies shall be priced and provided for on an
FOB origin basis. The following provisions and clauses are applicable
to this acquisition (NOTE: Provisions and clauses are readily

http://www.arnet.gov/far/). FAR Provision 52.212-1, Instructions to
Offerors- Commercial Items. FAR Provision 52.212-2, Evaluation-
Commercial Items, including the following addenda at paragraph (a); For
purposes of award, quotes will be evaluated based on price,
availability of licensing rights, and the offeror's capability to meet
the government's minimum requirements. FAR Provision 52.212-3, Offeror
Representations and Certifications- Commercial Items and DFARS
Provision 252.212-7000, Offeror Representations and Certifications-
Commercial Items. The offeror shall include completed copies of these
provisions with their offer. FAR Clause 52.212-4, Contract Terms and
Conditions- Commercial Items, including the following addenda at
paragraph (g); Invoices shall be sent to the addresses specified in
each individual delivery order, and paragraph (n); Certain commercial
items under this contract are licensed only and title does not pass to
the government. The provisions of addenda relating specifically to
passage of title apply to this contract. FAR Clause 52.212-5, Contract
Terms and Conditions Required To Implement Statutes Or Executive
Orders- Commercial Items, including the following addenda at paragraph
(b); FAR Clauses 52.203-6, 52.203-10, 52.219-8, 52.222-26, 52.222-35,
52.222-36, 52.222-37, 52.222-41, 52.222-42, 52.222-43, and 52.222-47.
DFARS Clause 252-212-7001, Contract Terms and Conditions Required to
Implement Statutes Or Executive Orders Applicable To Defense
Acquisitions Of Commercial Items, including the following addenda at
paragraph (b); DFARS Clauses 252.225-7001, 252.233-7000, and
252.247-7024. FAR Clause 52.216-18, Ordering (Orders may be issued
orally or by written telecommunications as deemed appropriate by the
government). FAR Clause 52.216-19, Delivery Order Limitations (Minimum
Order Amt-$50.00, Maximum Order Amt-$100,000). FAR Clause 52.216-22,
Indefinite Quantity (NOTE: The government's total contractual
obligation under this IDIQ contract is $50.00). FAR Clause 52.217-8,
Option To Extend Services. This option is unilaterally exercised by the
government provided the contractor receives written notification of
such extension not later than 15 calendar days prior to the date of
contract expiration. The option may be exercised more than once with a
total extension of performance not to exceed 6 months. FAR Clause
52.217-9, Option To Extend the Term of the Contract. This option is
unilaterally exercised by the government provided the contractor
receives written notification of intent to exercise not later than 60
calendar days prior to the date of contract expiration and actual
exercise of the option within 30 calendar days of the date of contract
expiration. Life cycle duration will not exceed 36 months. FAR Clause
52.232-18, Availability of Funds. DFARS Clause 252.227-7015, Technical
Data- Commercial Items. DFARS Clause 252.227-7021, Rights In
Data-Existing Works. DFARS Clause 252.227-7037, Validation of
Restrictive Markings on Technical Data. FAR Clause 52.247-29, F.O.B.
Origin. Additional contract terms and conditions are as follows: In
instances where conflicting terms between this contract and the
applicable license agreements arise, the government contract shall
govern. Title to licensed training materials shall remain with the
contractor with the exception of the participant manual. The contractor
shall implement effective quality control measures to ensure that
supplies and services are of acceptable quality to the government. Such
control measures shall be those measures consistant with the
contractor's standard commercial practices. Inspection and Acceptance:
Government inspection shall be accopmlished in a manner consistant
with the contractor's standard commercial practices. Acceptance is
contingent upon contractor compliance with all minimum requirements as
determined by the government. Standard Video License Agreement: In
accordance with the Schedule of Supplies and Services, the government
shall be expressly authorized to order required training on an
"a-la-carte" basis. Culture Wide Agreement: In accordance with the
Schedule of Supplies and Services, the government shall be expressly
authorized to order training for a defined population as codified by
bilateral modification to the prime contract. Where any order is placed
under the Culture Wide Agreement, the government will endeavor to train
the entire population identified on a "best effort" basis. Facilitator
Training: Facilitator training may occur either at government
identified sites using government owned facilities or at such other
sites as the parties mutually agree upon. Non-training expense to an
individual trainee shall not exceed the maximum per diem allowable
under the Joint Travel Regulation for the training site. The following
terms apply: (1) The government will procure faciltator training by
use of the most cost effective line item considering personnel
availability, time factors, transportation, lodging, and non-training
expenses of employees; (2) The government may elect to have training
provided at any site designated. Where "on-site" facilitator training
is required from the contractor, the government will provide the
training facility, audiovisual and other equipment as required, and a
separate line item will be provided for reimbursement of the
instructor's travel costs. In cases where the government elects to have
facilitator training provided by the contractor at one of the
contractor's commercial class offerings, including locations and times
concurrent with other governmental or commercial customers of the
contractor, instructor travel costs are not authorized. Reporting
Requirements: The contractor shall provide written quarterly reports
over the life of the contract to the Army Atlanta Contracting Center.
Each report, at a minimum, shall include the following information: (1)
Contractor name, address, ph#, fax#, poc, and date of report; (2)
Contract No., Delivery Order No.(s), site and location; (3) Iemized
list and costs for supplies and services provided (by line item), for
all delivery orders performed against; (4) Notification of any change
in unit price due to reaching the next higher price tier based upon
cummulative volume usage; (5) Invoice copies reflecting lower prices
than those stated on the delivery order; (6) Notification of any
difficulties or problems encountered during performance (names, ph#'s,
dates, times, and places shall be included). The ordering process
under this contract shall be decentralized with the exception that the
Army Atlanta Contracting Center shall maintain sole administration of
the prime contract. Ordering authority shall be delegated at the
installation level whereby servicing contracting offices are authorized
to issue and/or modify delivery orders. Orders for nonlicensed
materials may be placed by any authorized government credit card
holder. Unless a later delivery date is specified by the government,
supplies ordered shall be delivered within 45 calendar days after
receipt of order. In the event services are rendered at a specified
government facility, the contractor shall provide services, to include
ancillary supplies, in accordance with the training itinerary
stipulated in the delivery order. This acquisition does not constitute
a rated order in accordance with the Defense Priorities and
Allocations System. Offers are due not later than 18 Aug 97, 4:30 P.M.
