Research, Inc. (The Company) has a requirement to lease a maximum of
62,420 net usable square feet of office, office support and laboratory
space for use as a Transportation Research Center. The location of the
facility will be northeast of the intersection of Pellissippi Parkway
and Hardin Valley Road in north Knox County, Tennessee; the land will
be made available to the Lessor by The Development Corporation of Knox
County (TDC) and will be subordinated to the Lessor by TDC. Plans are
for a fixed-price lease agreement with a term of ten years with two
five-year options. Also included is the Company's right to terminate
the lease agreement at any time with a one-year's notification in
writing. This term equates to a one year firm term to accommodate the
365 day cancellation based on annual congressional funding. All
supplies, services, utilities (except electricity) and maintenance,
including janitorial requirements, are to be provided as part of the
rental consideration. The cost of electricity service will be the
responsibility of The Company. It is planned that a lease agreement
will be executed by February 24, 1998 and that construction will
commence shortly thereafter. Interested parties should contact T.R.
