Partnership with one or more companies to transfer the SMEX Lite
Spacecraft Architecture and related technologies from NASA to the
partner companies. The purpose of this technology transfer partnership
is to transfer the SMEX Lite Spacecraft Architecture to U.S. private
sector companies. It is intended that private companies, as a result of
this transfer, will have the capability to design, fabricate, and
operate spacecraft based on this architecture. It is intended that
private companies will sell spacecraft based on this architecture to
commercial customers and to various government agencies. It is
understood that there will be no transfer of funds, equipment or flight
hardware associated with this partnership. This technology transfer
activity will be an integral part of the Triana Project. It is NASA
GSFC's intent to provide one or more companies an opportunity to learn
about the SMEX Lite Architecture and all of its associated
technologies from the SMEX Lite Project Team during the Triana Project.
Company partners are responsible for providing system and subsystem
experts with mid to senior engineering experience in the following
critical engineering areas -- - Systems, Software, Digital Avionics,
Power, Test, Spacecraft Operations, Mechanical, Electrical and Attitude
Control. Proposing companies will provide a tabulation of technical
tasks and the associated technical expertise that quantifies the number
of hours associated with each task and area of expertise. Companies are
responsible for providing a company commercialization plan for
spacecraft utilizing the SMEX Lite architecture that includes potential
customers and missions. The NASA/GSFC Triana Project responsibilities
are to provide company technical experts access to SMEX Lite system and
subsystem documentation and to assist the company technical experts in
understanding SMEX Lite systems, subsystems and technologies. The
NASA/GSFC Triana Project will provide the company technical experts
with the opportunity for hands on work experience with SMEX Lite
software and hardware systems. Companies considering submitting a

Company Proposals responding to this invitation to partnership should
be submitted 30 days after the Commerce Business Daily publication of
this invitation. Please submit them by 4:00 pm to Wayne R. Hudson,
code 750, Building 11, Room C3, Goddard Space Flight Center, Greenbelt,
Maryland 20771. Selection Criteria Partner Companies will selected
based on three equally weighted criteria: The proposed partner's
understanding of the objectives and conditions of this
commercialization effort. The partner's preliminary plan for
commercializing the SMEX Lite architecture including potential
customers and missions, their past history of introducing new
technology into spacecraft application, their capability for
fabricating spacecraft and their potential capability for extending the
technologies included in this architecture. The plan should establish
the proposing companies capability and intent to underwrite the design,
fabrication, marketing, sale and operation of spacecraft based on the
SMEX Lite Architecture., their past history of introducing new
technology into spacecraft application and their capability for
extending the technologies included in this architecture will be
considered as part of the selection criteria. The technical expertise
proposed to work with the SMEX Lite team. The engineering disciplines
proposed, the experience of personnel and the specific level of support
broken down by disciplines in full time equivalent units. Specific
resumes of the proposed experts characterizing their past experience
and technical contributions should be included. The technical tasks
proposed to contribute to the Triana Project will be considered basedon
their value to the project. The tasks may be at the component,
subsystem or system level and may include contributions to subsystem
integration and all stages of testing. Each task should be clearly
defined and the associated level of effort in man-hours should be
uniquely specified. Proposals should be no longer than twenty-five
pages. They should be organized into sections that respond specifically
to each of the three criteria. The Government does not intend to
acquire a commercial item using FAR Part 12. See Note 26. An ombudsman
