a combined synopsis/solicitation for award of an Other Transaction (OT)
for Prototype Agreement, as authorized by 10 U.S.C. 2371, Section 845
of Public Law 103-160 as amended by Section 804 of Public Law 104-201,
as extended by by P.L. 105-261, Section 241. The Federal Acquisition
Regulation (FAR) and Department of Defense FAR Supplement (DFARS) do
not apply to Other Transactions, except as otherwise specified due to
applicability. Proposals in response to this BAA shall be submitted by
18 Jan 00, 1500 hours EST, addressed to ESC/SRK-2, 11 Barksdale St.,
Hanscom AFB, MA 01731-1634, Attn: Capt Mark Woodard. Proposals may be
sent via overnight delivery service/hand carried to: ESC/SRK-2, MITRE
K Bldg, 202 Burlington Rd., Bedford, Ma 01730-1420, Attn: Capt Mark
Woodard. This is a restricted solicitation; please see SECTION C-Notice
to Foreign Firms for further information. Proposals submitted shall be
in accordance with this announcement. Proposal submission after the
cutoff date specified herein may be treated as non-responsive. There
will be no other solicitation issued in regard to this requirement.
B-REQUIREMENTS: (1) Technical Description: LASER VISION is a project to
flight demonstrate Enhanced Recognition and Sensing LADAR (ERASER)
technology. ERASER is 2-D laser illuminated imaging technology. Each
contractor selected for Laser Vision will be required to insert ERASER
technology into a contractor furnished combat capable 3rd generation
FLIR targeting pod. The contractor will provide the
contractor-furnished pod to the Government for Government demonstration
on a Government high performance aircraft during 1QTR FY01. The
contractor will be required to support their contractor-furnished pod
during the Government demonstration. (2) Refer to the Task Description
Document (TDD) for further information about these proposal elements:
Contractor Statement of Objective, Ground Test, Sensor and Laser
Characterization, Government Demonstration, Demonstration Expectations,
Government Demonstration Support, Program Management, Technical
Documentation, Government Notification, Deliverable Items (CDRL),
Security Requirements. C -- ADDITIONAL INFORMATION: (1) Anticipated
Period of Performance: The total length of the technical effort is
estimated to be 13 months. (2) Expected Award Date: January 2000. (3)
Contractor Payment Method: A Cost-Sharing agreement will exist between
the Government and the contractor (using corporate IR&D funds), with
specified Milestone Payments. Milestones represent significant project
completion achievements and technical accomplishments, and appropriate
report documentation will be provided to the Government for payment.
The cost of any contractor conducted prior research and development
will not be considered as a cost-share. The Government anticipates
awarding multiple OT Agreements contingent upon the feasibility of
proposed technical solutions, and provide a total maximum cost-share of
$4.3M. This Government cost-share shall be divided equally between each
successful offeror. As the number of awarded OT Agreements increase,
the subsequent Government cost-share per OT agreement shall decrease
accordingly. In the event the offeror's proposal exceeds this amount,
the offeror shall agree in writing to commit corporate IR&D funds for
the remainder. See Attachment 1 to the Task Description Document for
further information. (4) Government Furnished Property: Contingent upon
negotiated OT Agreement. (5) Size Status: N/A (6) Notice to Foreign
Firms: Foreign offerors should be aware that security concerns preclude
their participation in this acquisition. D-PROPOSAL PREPARATION
INSTRUCTIONS: (1) General Instructions: Offerors who wish that their
proposal information not be disclosed to the public for any purpose, or
used by the Government except for evaluation purposes, shall mark the
title page with the following legend: This proposal includes data that
shall not be disclosed outside the Government and shall not be
duplicated, used, or disclosed -- in whole or in part -- for any
purpose other than to evaluate this proposal. If, however, a OT
Agreement is awarded to this offeror as a result of -- or in connection
with -- the submission of this data, the Government shall have the
right to duplicate, use, or disclose the data to the extent provided in
the resulting OT Agreement. This restriction does not limit the
Government's right to use information contained in this data if it is
obtained from another source without restriction. The data subject to
this restriction are contained in sheets [insert numbers or other
identification of sheets]; and mark each sheet of data it wishes to
restrict with the following legend: Use or disclosure of data contained
on this sheet is subject to the restriction on the title page of this
proposal. Technical and cost proposals, submitted in separate volumes,
are required and must be valid for 180 days. Proposals must reference
the above BAA number. Proposals shall be submitted in an original and
five copies. Any questions concerning proposal or SOW preparation
shall be referred to Capt Mark Woodard. All responsible sources may
request a copy of the Task Description Document, a sample OT Agreement,
the CDRL(s), and the Non-Cooperative Target Recognition Security
Classification Guide, 30 Mar 90 and attached DD Form 254 from Capt
Woodard. (2) Cost proposal: Certified Cost and Pricing Data is not
required. Cost proposal/price breakdown shall be supplied with cost
information for each proposed element of cost. Technical Proposal: The
technical proposal shall include a discussion of the nature and scope
of the research and the technical approach. The technical proposal
shall include a Statement of Work (SOW) detailing the technical tasks
proposed to be accomplished under the proposed effort and suitable for
OT Agreement incorporation. (4) Page limitations: Technical and Cost
proposals have no page limitations, however offerors are requested to
keep proposals to 90 pages as a goal. Proposals should be
double-spaced, single-sided, printed on 8.5 x 11 inch paper. (5)
Proposal Preparation Cost: This announcement does not commit the
Government to pay for any response preparation cost. The cost of
preparing proposals in response to this BAA is not considered an
allowable direct charge to any resulting or any other Agreement. (6)
Required Certifications: Offerors must provide evidence of meeting the
following certifications: (a) Executive Order 12549,
Debarred/Suspended Status; (b) Public Law 100-690, Drug-Free Workplace;
(c) DoD Directive 5500.11, Nondiscrimination in Federally Assisted
Programs, Title VI of the Civil Rights Act of 1964; (d) Section 1352,
Title 31, USC (Public Law 101-121, Section 319), Limitation on Use of
Appropriated Funds to Influence Certain Federal Contracting and
Financial Transactions. E-BASIS FOR AWARD: The Government will consider
compliance with solicitation requirements, management commitment,
financial capability and proposed terms and conditions in assessing the
adequacy of each proposal. The selection of one or more sources for
award will be based on an evaluation of an offeror's response (both
technical and cost aspects) to determine the overall merit of the
proposal in response to the announcement. The technical aspect, which
is ranked as the first priority, shall be evaluated based on the
following criteria, which are of equal importance: (a) the offeror's
understanding of the scope of the of the technical effort; (b)
soundness of offeror's technical approach to include schedule; (c) the
availability of qualified technical personnel and their experience
with applicable technologies; (d) the offeror's past experience with
applicable technologies; (e) organization, clarity, and thoroughness of
the proposed SOW. Cost is ranked as the second order of priority, and
