This is a combined synopsis/solicitation for commercial items prepared
in accordance with the format in FAR Subpart 12.6 as supplemented with
additional information included in this notice. This announcement
constitutes the only solicitation; quotations are being requested and
a written solicitation will not be issued. Solicitation number
N61339-00-T- 0125 is issued as a request for quotation (RFQ). All
references to "offers" are understood to be "quotations". The
solicitation document and incorporated provisions and clauses are those
in effect through Federal Acquisition Circular 97-19. The Government
intends to award on a sole source basis to VisiCom Laboratories, Inc.
at 10052 Mesa Ridge Ct., San Diego, California 92121. The standard
industrial classification(SIC)code is 3577 and the small business size
standard is 1000. The following item is required: VisiCom MMI-4311 VME
based Digital Signal Processing Cards -- quantity of 20 (single
processor), as a result there will be no need to modify the existing
application (software). The VQ encoding and decoding algorithm used in
the current DSP card is proprietary and not currently available for
development by other DSP manufacturers. The overall objective is to
enhance the existing version of the improved Battle Force Tactic
Training (BFTT) Digital Voice System. This would be considered an
upgrade. Delivery is to be made FOB Destination to: Navy Air Warfare
Center -- Training Systems Division (NAWCTSD) at 12350 Research
Parkway, Orlando, Florida 32826-3224 by 90 days after award. Acceptance
shall be made at destination. FAR 52.212-1, "Instructions to
Offerors-Commercial Items" is incorporated by reference and applies to
this acquisition. The Government will award a purchase order resulting
from this RFQ to the responsible offeror whose quotation conforming to
the solicitation will be most advantageous to the Government, price
and other factors considered. The following factors will be used to
evaluate quotations: (1) technical capability of the item/service
offered to meet the Government requirements and (2) price. Technical is
approximately equal to price in terms of evaluation. FAR 52.212-1
"Instructions to Offerors-Commercial Items." Offerors shall include a
completed copy of the provisions at FAR 52.212-3, "Offeror
Representations and Certifications -- Commercial Items" with its
quotation. In addition, offerors shall include a completed copy of the
provision at DFARS 252.212-7000, "Offeror Representations and
Certifications -- Commercial Items" with its quotation. FAR 52.212-4,
"Contract Terms and Conditions -- Commercial Items" is incorporated by
reference and applies to this acquisition and resulting purchase
order. The following terms and conditions are added as an addendum to
this clause. The resulting purchase order will be a firm-fixed-price

The Comptroller General of the United States, or an authorized
representative of the Comptroller General, shall have access to and
right to examine any of the Contractor's directly pertinent records
involving transactions related to this contract. (2) The Contractor
shall make available at its offices at all reasonable times the
records, materials, and other evidence for examination, audit, or
reproduction, until 3 years after final payment under this contract or
for any shorter period specified in FAR Subpart 4.7, Contractor
Records Retention, of the other clauses of this contract. If this
contract is completely or partially terminated, the records relating to
the work terminated shall be made available for 3 years after any
resulting final termination settlement. Records relating to appeals
under the disputes clause or to litigation or the settlement of claims
arising under or relating to this contract shall be made available
until such appeals, litigation, or claims are finally resolved. (3) As
used in this clause, records include books, documents, accounting
procedures and practices, and other data, regardless of type and
regardless of form. This does not require the Contractor to create or
maintain any record that the Contractor does not maintain in the
ordinary course of business or pursuant to a provision of law. (e)
Notwithstanding the requirements of the clauses in paragraphs (a), (b),
(c) or (d) of this clause, the Contractor is not required to include
any FAR clause, other than those listed below (and as may be required
by an addenda to this paragraph to establish the reasonableness of
prices under Part 15), in a subcontract for commercial items or
