Description
This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Federal Acquisition Regulation (FAR), Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation and is being issued as a Request for Quotations (RFQ) and a written solicitation will not be issued. The solicitation document and incorporated clauses and provisions are those in effect through Federal Acquisition Circular 97-21 and Veterans Affairs Acquisition Regulation VAAR, VA Acquisition Circular 97-8. By and in compliance with FAR 6.302-3 and under authority of citation 41 U.S.C. 253(c). The VA North Texas Health Care System (VANTHCS) proposes to award a sole source contract to Presbyterian Hospital of Dallas, a non-profit medical facility for the provision of off site services of an Exercise Physiologist and a Research Associate. These services are required as an integral part of an approved and funded research project. As a part of the project, the Neuromuscular Center of the Institute for Exercise and Environmental Medicine, a division of Presbyterian Hospital of Dallas has been approved to provide a facility, near-infrared spectroscopy device and to accomplish those duties required with subject recruitment, scheduling, conducting exercise test and data. The awarded contract shall be for a base period from date of award through 09/30/01 and shall include two options that allows the government the unilateral right to extend the term of the contract by 12 months each. It shall be the Contractor's responsibility to provide identified individuals to perform the duties defined as follows: Responsibilities of Exercise Physiologist: ► Conduct of all cycle exercise testing; ► Reduction and analyzing the exercise physiology data; ► Collection of all gas exchange, cardiac output, and for analyzing these and related metabolic and cardiopulmonary data; Conducting and or providing coordination of all aspects of the training portion of the study; and ► Maintaining the human exercise laboratory. Responsibilities of Research Associate: ► Coordinating the study to include recruitment and scheduling; ► Planning and performing all near infrared spectroscopy studies; ► Planning and performing all 31P magnetic resonance spectroscopy studies and reduction and collation of the data; and ► Activities that relate to data analysis for manuscript preparation for the entire project. Contract personnel shall be specifically dedicated and assigned to the contract effort. During any period of the contract, should the Contractor need to provide alternates for these individuals the Contractor must first receive written, verbal if time does not permit, approval from the VANTHCS Research Project Director. Assigned personnel shall have the following minimum skills, knowledge, and abilities: ► Good interpersonal skills; ► Good mathematical skills; ► Good analytical skills; ► Good organizational skills; ► An ability to work independently; and ► Be goal oriented. Contractor Employee Relationship and Supervision: ► The Contractor provided technicians utilized in accomplishment of duties under the contract shall be governed by their employment agreement with Presbyterian and as such, supervision of conduct shall be the responsibility of the Contractor. ► The VANTHCS Research Project Director shall be the primary contact for the project and shall be responsible only, for providing project guidance/direction to the Contractor's employees. Performance Objective and Evaluation: ► Contract payment for services and performance evaluation are based upon successful completion, by Contractor provided personnel, of all assigned duties during a monthly invoiced period. To ensure compliance with the terms of the agreement and to provide a control mechanisms, the contractor shall provide a certified invoice that will list the dates and time of performance for each individual assigned to the contract during the invoiced period. Payment for services shall be monthly in arrears and shall be made in accordance with the terms and conditions found in Federal Acquisition Regulation (FAR) clause 52.212-4(I). The Contractor shall submit a monthly invoice to the designated billing office and as applicable, the invoice shall contain not only the information aforementioned but also that required by FAR 52.212-4(g). For the duration of the contract, it shall be the responsibility of the Contractor to provide the Contracting Officer with proof of Indemnification and Medical Liability Insurance in the amounts following: ► $1,000,000 per event/$3,000,000 aggregate. The VANTHCS is an entity of the Department of Veterans Affairs of the federal government and as such is self insured. VANTHCS however, shall not be responsible for liabilities and expenses incidental to such liabilities for which the Contractor is otherwise responsible under the express terms of any clause specified in the contract; for which the Contractor has failed to insure or to maintain insurance as required by the contract; or that result from willful misconduct or lack of good faith on the part of any of the Contractor's personnel. This provision does not restrict the right of the Contractor as allowed by law. Contract Modification: This contract may be modified only by written amendment agreed upon and executed by the VANTHCS Contracting Officer and the Contractor's duly authorized representative(s). Confidential Information: It shall be the responsibility of the Contractor to observe all applicable laws and regulations concerning the confidentially of patient information. FAR Clauses and Provisions: all applicable are incorporated herein by reference and include FAR 52.212-1, 52.212-2, 52.212-3, 52.212-4, 52.212.5, and addenda, 52.217-8, 52.217-9, 52.224-2, 52.233-3, 52.237-7, 852.233-70 and 852.270-4.
