Description
The Securities and Exchange Commission requires a compilation covering all current statutes and applicable regulations, rules and forms encompassing federal securities law, The Securities Act of 1933, the Securities Exchange Act of 1934, the Public Utility Holding Company Act of 1935, the Trust Indenture Act of 1939, the Investment Company Act of 1940, and the Investment Advisers Act of 1940. The following must be included for each: full text for the Act as amended to date, rules by the SEC implementing the Act as are currently effective; officialforms of the SEC required for compliance with the Act as they currently exist; and regulations by the SEC containing the procedures or instructions for filing current forms. Also required are related laws and rules and guides concerned with federal regulation of the securities industry, including but not limited to the following: guides for registrants in particular industries; codification of the SEC's current published views and interpretations relating to financial reporting; current practices and interpretations of the SEC's Division of Corporation Finance and the Chief Accountant in administering the disclosure requirements of the laws; current requirements for the solicitation of proxies or tender offers; Board of Governors of the Federal Reserve Systems regulations that relate to extension of credit in securities transactions; text of the Securities Investor Protection Act as amended to date and the SEC's current fule issuances; SEC rules of practice and investigations; laws and regulations relating to public availability of data obtained and held by the SEC, public access to SEC hearings, and related issues under the Freedom of Information Act. This informaton must be available to two formats. 1) A multi-volume print set in loose-leaf format, that groups regulations and forms with the statute under which they are promulgated, one volume per each securities law (or group of laws in cases where data is not extensive enough to merit an individual volume). This set should be periodically updated to reflect and actions taken by Congress or the SEC revising the laws, regulations or forms relating to the federal securities field. Each volume shall contain tabbed gudes and detailed tables of contents for tha volume as well as all other volumes. The set shall contain up-to-date, detailed alphabetical indesing with each section of law, rule and form having multiple entires as necessary, as well as finding lists for regulations and forms. 2) An electronic version accessed via the Internet containing at minimum the same information available in the print format. In addition, this service shall include interactive forms, user-friendly search features, and a toll-free technical support help line. The period of performance will be be from October 1, 2001 through September 30, 2002, with four one-year options.
